Common use of SERVICE AGREEMENT; GUARANTY AGREEMENT Clause in Contracts

SERVICE AGREEMENT; GUARANTY AGREEMENT. The Practice and Pentegra shall have executed and delivered a mutually agreeable Service Agreement (the "Service Agreement"), which may be in the form attached hereto as EXHIBIT 7.7, and otherwise satisfactory to Company and Pentegra, pursuant to which Pentegra will provide management services to the Practice. Each Shareholder shall have executed and delivered a mutually agreeable Guaranty Agreement which may be in the form attached as EXHIBIT 4.10, and otherwise satisfactory to Company and Pentegra, of the Service Agreement pursuant to which Shareholder shall, among other things, guaranty the obligations of the Practice under the Service Agreement.

The Practice and Pentegra shall have executed and delivered a mutually agreeable Service Agreement (the "Service Agreement"), which may be in the form attached hereto as EXHIBIT 7.7, and otherwise satisfactory to Company and Pentegra, pursuant to which Pentegra will provide management services to the Practice. Each Shareholder shall have executed and delivered a mutually agreeable Guaranty Agreement Agreement, which may be in the form attached as EXHIBIT 4.10, and otherwise satisfactory to Company and Pentegra, of the Service Agreement pursuant to which Shareholder shall, among other things, guaranty the obligations of the Practice under the Service Agreement.

Each Shareholder member/shareholder/partner of the Practice shall have executed and delivered a mutually agreeable Guaranty Agreement which may be in the form attached as EXHIBIT 4.10, and otherwise satisfactory to Company and Pentegra, Pentegra of the Service Agreement pursuant to which Shareholder shall, among other things, guaranty the obligations of the Practice under the Service Agreement.
