Common use of Servicer to Cooperate Clause in Contracts

Servicer to Cooperate. Each Servicer (other than WMMSC and SPS) shall provide to the Master Servicer, the information set forth in Exhibits X-0, X-0, X-0 and H-4 and any other information the Master Servicer requires, and SPS shall provide to the Master Servicer, the information set forth in Exhibits X-0, X-0, X-0, P and Q and any other information the Master Servicer requires, in each case in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than (i) with respect to a Servicer other than Xxxxx Fargo, 12:00 noon (New York City time) on the Data Remittance Date, and (ii) with respect to Xxxxx Fargo, on the Data Remittance Date, to enable the Master Servicer to provide such information to the Trust Administrator. Each Servicer (other than WMMSC) also shall provide to the Master Servicer, the information set forth in Exhibit H-1, solely relating to Payoffs received during the related Prepayment Period, in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than the Additional Data Remittance Date, to enable the Master Servicer to provide such information to the Trust Administrator. The Master Servicer, with respect to the Mortgage Loans which are not WMMSC Serviced Mortgage Loans, and WMMSC, with respect to the WMMSC Serviced Mortgage Loans, shall provide to the Trust Administrator the information set forth in Exhibits X-0, X-0, X-0 and H-4 (and with respect to the Master Servicer and information provided by SPS, the information set forth in Exhibits P and Q) in such form as the Trust Administrator shall reasonably request no later than 12:00 noon (New York City time) on the related Data Remittance Date or on the related Additional Data Remittance Date, as applicable, to enable the Trust Administrator to calculate the amounts to be distributed to each Class of Certificates and otherwise perform its distribution, accounting and reporting requirements hereunder.

Servicer to Cooperate. Each Servicer (other than WMMSC and SPS) shall provide to the Master Servicer, the information set forth in Exhibits X-0H-1, X-0, X-0 H-2 and H-4 H-3 and any other information the Master Servicer requires, and SPS shall provide to the Master Servicer, the information set forth in Exhibits X-0H-1, X-0, X-0H-2, P and Q and any other information the Master Servicer requires, in each case in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than (i) with respect to a Servicer other than Xxxxx Fargo, 12:00 noon (New York City time) on the Data Remittance Date, and (ii) with respect to Xxxxx Fargo, on the Data Remittance Date, to enable the Master Servicer to provide such information to the Trust Administrator. Each Servicer (other than WMMSC) also shall provide to the Master Servicer, the information set forth in Exhibit H-1, solely relating to Payoffs received during the related Prepayment Period, in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than the Additional Data Remittance Date, to enable the Master Servicer to provide such information to the Trust Administrator. The Master Servicer, with respect to the Mortgage Loans which are not WMMSC Serviced Mortgage Loans, and WMMSC, with respect to the WMMSC Serviced Mortgage Loans, shall provide to the Trust Administrator the information set forth in Exhibits X-0H-1, X-0, X-0 H-2 and H-4 (and with respect to the Master Servicer and information provided by SPS, the information set forth in Exhibits P and Q) H-3 in such form as the Trust Administrator shall reasonably request no later than 12:00 noon (New York City time) on the related Data Remittance Date or on the related Additional Data Remittance Date, as applicable, to enable the Trust Administrator to calculate the amounts to be distributed to each Class of Certificates and otherwise perform its distribution, accounting and reporting requirements hereunder.

Servicer to Cooperate. Each Servicer (other than WMMSC and except for SPS) shall provide to the Master Servicer, Servicer the information set forth in Exhibits X-0H-1, X-0, X-0 H-2 and H-4 H-3 and any other information the Master Servicer requires, and SPS shall provide to the Master Servicer, Servicer the information set forth in Exhibits X-0H-1, X-0, X-0H-2, P and Q and any other information the Master Servicer requires, in each case in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than (i) with respect to a Servicer other than Xxxxx Wells Fargo, 12:00 twelve noon (New York City time) on the Data Remittance Date, and (ii) with respect to Xxxxx FargoWells Farxx, on the Data Remittance Date, to enable the Master Servicer to provide such information ixxxxxation to the Trust Administrator. Each Servicer (other than WMMSC) also shall provide to the Master Servicer, Servicer the information set forth in Exhibit H-1, solely relating to Payoffs received during the related Prepayment Period, in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than the Additional Data Remittance Date, to enable the Master Servicer to provide such information to the Trust Administrator. The Master Servicer, with respect to the Mortgage Loans which are not WMMSC Serviced Mortgage Loans, and WMMSC, with respect to the WMMSC Serviced Mortgage Loanseach Distribution Date, shall provide to the Trust Administrator the information set forth in Exhibits X-0H-1, X-0, X-0 H-2 and H-4 (and with respect to the Master Servicer and information provided by SPS, the information set forth in Exhibits P and Q) H-3 in such form as the Trust Administrator shall reasonably request no later than 12:00 twelve noon (New York City time) on the related Data Remittance Date or on the related Additional Data Remittance Date, as applicable, to enable the Trust Administrator to calculate the amounts to be distributed to each Class of Certificates and otherwise perform its distribution, accounting and reporting requirements hereunder.

Servicer to Cooperate. Each Servicer (Servicer, other than WMMSC and SPS) WMMSC, shall provide to the each Master Servicer, Servicer the information set forth in Exhibits X-0Exhibit H, X-0, X-0 and H-4 and any other information the Master Servicer requires, and SPS shall provide to the Master Servicer, the information set forth in Exhibits X-0, X-0, X-0, P and Q and any other information the such Master Servicer requires, in each case in such form as the such Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the such Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than (i) with respect to a Servicer other than Xxxxx Fargo, 12:00 twelve noon (New York City time) on the Data Remittance Date, and (ii) with respect to Xxxxx Fargo, on the Data Remittance Date, to enable the related Master Servicer to provide such information to the Trust Administrator. Each Servicer (other than WMMSC) also shall provide to the Master ServicerXxxxx Fargo, the information set forth in Exhibit H-1, solely relating to Payoffs received during the related Prepayment Period, in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than the Additional Data Remittance Date, to enable the Master Servicer to provide such information to the Trust Administrator. The Master Servicer, with respect to the Mortgage Loans which are not WMMSC Serviced Mortgage Loans or IndyMac Serviced Mortgage Loans, CMMC, as Master Servicer of the IndyMac Mortgage Loans, and WMMSC, with respect to the WMMSC Serviced Mortgage Loans, shall provide to the Trust Administrator the information set forth in Exhibits X-0, X-0, X-0 and H-4 (and with respect to the Master Servicer and information provided by SPS, the information set forth in Exhibits P and Q) Exhibit I in such form as the Trust Administrator shall reasonably request no later than 12:00 twelve noon (New York City time) on the related Data Remittance Date or on the related Additional Data Remittance Date, as applicable, to enable the Trust Administrator to calculate the amounts to be distributed to each Class of Certificates and otherwise perform its distribution, accounting and reporting requirements hereunder.

Servicer to Cooperate. Each Servicer (other than WMMSC and SPS) shall provide to the Master Servicer, the information set forth in Exhibits X-0H-0, X-0, X-0 and H-4 and any other information the Master Servicer requires, and SPS shall provide to the Master Servicer, the information set forth in Exhibits X-0H-0, X-0, X-0, P and Q and any other information the Master Servicer requires, in each case in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than (i) with respect to a Servicer other than Xxxxx Wxxxx Fargo, 12:00 noon (New York City time) on the Data Remittance Date, and (ii) with respect to Xxxxx Wxxxx Fargo, on the Data Remittance Date, to enable the Master Servicer to provide such information to the Trust Administrator. Each Servicer (other than WMMSC) also shall provide to the Master Servicer, the information set forth in Exhibit H-1, solely relating to Payoffs received during the related Prepayment Period, in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than the Additional Data Remittance Date, to enable the Master Servicer to provide such information to the Trust Administrator. The Master Servicer, with respect to the Mortgage Loans which are not WMMSC Serviced Mortgage Loans, and WMMSC, with respect to the WMMSC Serviced Mortgage Loans, shall provide to the Trust Administrator the information set forth in Exhibits X-0H-0, X-0, X-0 and H-4 (and with respect to the Master Servicer and information provided by SPS, the information set forth in Exhibits P and Q) in such form as the Trust Administrator shall reasonably request no later than 12:00 noon (New York City time) on the related Data Remittance Date or on the related Additional Data Remittance Date, as applicable, to enable the Trust Administrator to calculate the amounts to be distributed to each Class of Certificates and otherwise perform its distribution, accounting and reporting requirements hereunder.

Servicer to Cooperate. Each Servicer (other than WMMSC and SPS) shall provide to the Master Servicer, the information set forth in Exhibits X-0, X-0, X-0 and H-4 and any other information the Master Servicer requires, and SPS shall provide to the Master Servicer, the information set forth in Exhibits X-0, X-0, X-0X-0 (and with respect to the Master Servicer and information provided by SPS, the information set forth in Exhibits P and Q), P and Q and any other information the Master Servicer requires, in each case in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than (i) with respect to a Servicer other than Xxxxx Fargo, 12:00 noon (New York City time) on the Data Remittance Date, and (ii) with respect to Xxxxx Fargo, on the Data Remittance Date, to enable the Master Servicer to provide such information to the Trust Administrator. Each Servicer (other than WMMSC) also shall provide to the Master Servicer, the information set forth in Exhibit H-1, solely relating to Payoffs received during the related Prepayment Period, in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than the Additional Data Remittance Date, to enable the Master Servicer to provide such information to the Trust Administrator. The Master Servicer, with respect to the Mortgage Loans which are not WMMSC Serviced Mortgage Loans, and WMMSC, with respect to the WMMSC Serviced Mortgage Loans, shall provide to the Trust Administrator the information set forth in Exhibits X-0, X-0, X-0 and H-4 (and with respect to the Master Servicer and information provided by SPS, the information set forth in Exhibits P and Q) in such form as the Trust Administrator shall reasonably request no later than 12:00 noon (New York City time) on the related Data Remittance Date or on the related Additional Data Remittance Date, as applicable, to enable the Trust Administrator to calculate the amounts to be distributed to each Class of Certificates and otherwise perform its distribution, accounting and reporting requirements hereunder.

Servicer to Cooperate. Each Servicer (Servicer, other than WMMSC and SPS) Washington Mutual, shall provide to the Master Servicer, Servicer the information set forth in Exhibits X-0, X-0, X-0 and H-4 and any other information the Master Servicer requires, and SPS shall provide to the Master Servicer, the information set forth in Exhibits X-0, X-0, X-0, P and Q and any other information the Master Servicer requires, in each case Exhibit J-1 in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than (i) with respect to a Servicer other than Xxxxx Fargo, 12:00 twelve noon (New York City time) on the Data Remittance Date, and (ii) with respect to Xxxxx Fargo, on the Data Remittance Date, to enable the Master Servicer to provide such information to the Trust Administrator. Each Servicer (other than WMMSC) also shall provide to the Master Servicer, the information set forth in Exhibit H-1, solely relating to Payoffs received during the related Prepayment Period, in such form as the Master Servicer shall reasonably request, or in such form as may be mutually agreed upon between such Servicer and the Master Servicer, with respect to each Mortgage Loan serviced by such Servicer no later than the Additional Data Remittance Date, Date to enable the Master Servicer to provide such information to the Trust Administrator. The Master Servicer, with respect to the Mortgage Loans which are not WMMSC Serviced Mortgage Loans, Loans and Washington Mutual Serviced Mortgage Loans and WMMSC, with respect to the WMMSC Serviced Mortgage Loans, shall provide to the Trust Administrator the information set forth in Exhibits X-0, X-0, X-0 and H-4 (and with respect to the Master Servicer and information provided by SPS, the information set forth in Exhibits P and Q) Exhibit J-1 in such form as the Trust Administrator shall reasonably request no later than 12:00 twelve noon (New York City time) on the related Data Remittance Date or to enable the Trust Administrator to calculate the amounts to be distributed to each Class of Certificates and otherwise perform its distribution, accounting and reporting requirements hereunder. Washington Mutual, with respect to the Washington Mutual Serviced Mortgage Loans, shall provide to the Trust Administrator the information set forth in Exhibit J-2 in such form as the Trust Administrator shall reasonably request no later than twelve noon on the related Additional Data Remittance Date, as applicable, Date to enable the Trust Administrator to calculate the amounts to be distributed to each Class of Certificates and otherwise perform its distribution, accounting and reporting requirements hereunder.
