Trustee to Cooperate. Upon the payment in full of the Principal Balance of any Mortgage Loan, the Servicer will notify the Trustee by a certification (which certification shall include a statement to the effect that all amounts received in connection with such payment which are required to be deposited in the Collection Account pursuant to Section 5.02 have been so deposited) of a Servicing Officer. Upon any such payment in full, the Servicer is authorized to execute, pursuant to the authorization contained in Section 5.01, an instrument of satisfaction regarding the related Mortgage, which instrument of satisfaction shall be recorded by the Servicer if required by applicable law and be delivered to the Person entitled thereto, it being understood and agreed that no expenses incurred in connection with such instrument of satisfaction shall be reimbursed from the Collection Account. From time to time and as appropriate for the servicing or foreclosure of any Mortgage Loan, the Collateral Agent on behalf of the Trustee shall, upon request of the Servicer and delivery to the Trustee of a trust receipt signed by a Servicing Officer, release the related Mortgage File to the Servicer and shall execute such documents as shall be necessary for the prosecution of any such proceedings. Such trust receipt shall obligate the Servicer to return the Mortgage File to the Collateral Agent on behalf of the Trustee when the need therefor by the Servicer no longer exists unless the Mortgage Loan shall be liquidated, in which case, upon receipt of a certificate of a Servicing Officer similar to that hereinabove specified, the trust receipt shall be released by the Collateral Agent on behalf of the Trustee to the Servicer.

The Servicer is authorized to execute an instrument in satisfaction of such Contract and any related Mortgage and do such other acts and execute such other documents as the Servicer deems necessary to discharge the Obligor thereunder and eliminate the security interest in the Manufactured Home and any related Mortgaged Property related thereto. The Servicer shall determine when a Contract has been paid in full; to the extent insufficient payments are received on a Contract mistakenly determined by the Servicer to be prepaid or paid in full and satisfied, the shortfall shall be paid by the Servicer out of its own funds by deposit into the Certificate Account. Upon request of a Servicing Officer, the Trustee shall, at the expense of the Servicer, perform such other acts as are reasonably requested by the Servicer (including, without limitation, the execution of documents) and otherwise cooperate with the Servicer in enforcement of rights and remedies with respect to Contracts, and the Trustee shall not be liable or responsible for the execution of any documents or performance of any acts requested by the Servicer pursuant to this Section.

Trustee to Cooperate. Upon payment (including through application of any prepayment) in full of any Contract, the Servicer will notify the Trustee by written certification (which certification shall include a statement to the effect that all amounts received in connection with such payments in full which are required to be deposited in the Clearing Account pursuant to Section 3.03 hereof have been so deposited) of a Servicing Officer and shall request delivery of the Contract to the Servicer in accordance with Section 1.3 of the Custodian Agreement. Upon receipt of such delivery request, the Custodian shall, within 7 days of such request by the Servicer, release such Contract to the Servicer in accordance with the Custodian Agreement. Upon release of such Contract, the Servicer is authorized to execute an instrument in satisfaction of such Contract and to do such other acts and execute such other documents as it deems necessary to discharge the Obligor thereunder and, if applicable, release any security interest in the Credits related thereto. The Servicer shall determine when a Contract has been paid in full. Upon the written request of a Servicing Officer and subject to the Trustee's rights to indemnity contained herein and in the Indenture, the Trustee shall perform such other acts as reasonably requested in writing by the Servicer and otherwise cooperate with the Servicer in enforcement of the Noteholders' rights and remedies with respect to Contracts.
Trustee to Cooperate. Upon payment in full on any Auto Loan, the Servicer shall notify the Trustee in writing on the next succeeding Deposit Date (which notification shall include a statement to the effect that all amounts received in connection with such payment in full which are required to be deposited in the Collection Account pursuant to Section 7.02(b) have been so deposited) and if the related Loan File is not at the time held by the Servicer as the custodian of the Trustee, shall request delivery of the Auto Loan and Loan File to the Servicer. Upon receipt of such request, the Trustee shall promptly release or cause to be released such Auto Loan and the related Loan File if appropriate to the Servicer by executing a release and assignment in the form of Exhibit E hereto, which assignment shall be without recourse to the Trustee (except as to the absence of liens, charges or encumbrances created by or arising as a result of actions taken by the Trustee other than those created by or arising from this Agreement). Upon receipt of such Auto Loan and Loan File, the Servicer shall be authorized to execute an instrument in satisfaction of such Auto Loan and to take such other actions and execute such other documents as it deems necessary to discharge the Obligor thereunder and eliminate the security interest in the Automobile related thereto. The Servicer shall determine when an Auto Loan has been paid in full. Upon request of a Servicing Officer, the Trustee shall perform such other acts as reasonably requested by the Servicer and otherwise cooperate with the Servicer in enforcement of the Certificateholder's rights and remedies with respect to the Auto Loans, the Assignments and the Insurance Policies; provided, however, the Trustee shall not be required to take any action in breach of its fiduciary duties, and nothing herein shall require the Trustee to advance its own funds.
