Severability; Survival of Terms. Should any provision of an RSU Award or these RSU Terms and Conditions be held by a court of competent jurisdiction to be unenforceable, such holding shall not affect the validity of the remainder of the RSU Award or these RSU Terms and Conditions. These RSU Terms and Conditions shall apply to and bind the Participant and the Company and their respective permitted assignees and transferees, heirs, legatees, executors, administrators and legal successors.

If any provision of this Agreement is found to be illegal or unenforceable, this Agreement nevertheless shall remain in full force and effect and the provision shall be stricken. In the event any provision of this Severance Agreement and General Release is invalidated by a court of competent jurisdiction, then all of the remaining provisions of this Severance Agreement and General Release shall continue unabated and in full force and effect. All obligations of a continuing nature created by this Severance Agreement and General Release shall survive its expiration or termination.
