Severance Benefits Upon Termination. If the Executive's employment with the Company: (i) is terminated without Cause by the Company for any reason other than for Cause; or for Good Reason (ii) is terminated by the Executive prior to a Change Executive's resignation under circumstances constituting Good Reason, then, during the Continuation Period (except for the benefits described in Controlsubsection (c), which shall be provided as described in such subsection), the Executive shall be entitled eligible to receive the following severance compensation and benefits:benefits described in this Section 3.
