Shareholder Support Agreement. In the event any Key Company Shareholder fails to comply in any material respect with his, her or its obligations under the Shareholder Support Agreement in a timely manner, the Company will utilize the proxy granted to it under Section 5.1 of the Shareholder Support Agreement by such Key Company Shareholder to act for such Key Company Shareholder in accordance with the terms and conditions of the Shareholder Support Agreement, the Cayman Companies Act and other applicable Law; provided that no such action by the Company will be necessary if the failed action by such Key Company Shareholder is not necessary for any vote or written consent to be approved by a required percentage of shareholders.
Shareholder Support Agreement. The Shareholder Support Agreement shall be in full force and effect, and no signatory to the Shareholder Support Agreement shall have attempted to repudiate or disclaim any of its or his obligations thereunder.
Shareholder Support Agreement. In the event any Company Shareholder party to the Seller Support Agreement fails to comply in any material respect with his, her or its obligations under the Seller Support Agreement in a timely manner, the Company will utilize the proxy granted to it under the Seller Support Agreement by such Company Shareholder to act for such Company Shareholder in accordance with the terms and conditions of the Seller Support Agreement, the Cayman Companies Act and other applicable Law.
Shareholder Support Agreement. The Shareholder Support Agreement shall be in full force and effect on the Closing Date, and no Key Company Shareholder shall have attempted to repudiate or disclaim any of its or his/her obligations thereunder.
Shareholder Support Agreement. The Company shall have entered in the Shareholder Support Agreement with each of the Converting Shareholders.
Shareholder Support Agreement. The Shareholder Support Agreement, once acted upon at the Company Shareholders Meeting, will satisfy the approval thresholds required pursuant to the Company Required Approval.
Shareholder Support Agreement. The Company shall use commercially reasonable efforts to cause each of the individuals set forth in Section 6.5 of the Company Disclosure Schedules to execute a Shareholder Support Agreement as promptly as reasonably practicable following the date of this Agreement, but in no event later than September 30, 2023. In the event any Key Company Shareholder fails to comply in any material respect with his, her or its obligations under the Shareholder Support Agreement in a timely manner, the Company will utilize the proxy granted to it under Section 7 (Appointed Representative) of the Shareholder Support Agreement by such Key Company Shareholder to act for such Key Company Shareholder in accordance with the terms and conditions of the Shareholder Support Agreement, the BCBCA and other applicable Law; provided that no such action by the Company will be necessary if the failed action by such Key Company Shareholder is not necessary for any vote or written consent to be approved by a required percentage of shareholders.
Shareholder Support Agreement. As of the date of this Agreement, Seller shall deliver to Buyer a Shareholder Support Agreement duly executed by the parties thereto, substantially in the form of Exhibit 4.12 hereto.
Shareholder Support Agreement. In the event any Purchaser Shareholder party to the Founder Support Agreement fails to comply in any material respect with his, her or its obligations under the Founder Support Agreement in a timely manner, Purchaser will utilize the proxy granted to it under the Founder Support Agreement by such Purchaser Shareholder to act for such Purchaser Shareholder in accordance with the terms and conditions of the Founder Support Agreement, the Cayman Companies Act and other applicable Law.
