Shares to be Redeemed. In case of the redemption, for any reason, of only part of the outstanding shares of Preferred stock on a Redemption Date, all shares of Preferred Stock to be redeemed shall be selected pro rata and there shall be so redeemed from each registered holder in whole shares, as nearly as practicable to the nearest whole share, that proportion of all the shares to be redeemed which the number of shares held of record by such holder bears to the total number of shares of Preferred Stock at the time outstanding. Any shares of Preferred Stock that are designated for redemption on a Redemption Date and are not so redeemed shall be redeemed as soon thereafter as possible and in the manner in which shares are otherwise redeemed on a Redemption Date, and, in such event, as provided in this subdivision I, dividends shall continue to accrue on such shares.

Shares to be Redeemed. In case of the redemption, for any reason, of only a part of the outstanding shares of Series A Preferred Stock required to be redeemed on a Series A Redemption Date, all shares of Series A Preferred Stock to be re deemed shall be selected pro rata, and there shall be redeemed from each registered holder a number of shares, as nearly as practicable to the nearest share, equal to the total number of shares of Series A Preferred Stock held of record by such holder multiplied by a fraction, of which the numerator shall be the aggregate number of shares of Series A Preferred Stock actually being redeemed on such Series A Redemption Date, and the denominator shall be the aggregate number of shares of Series A Preferred Stock required to be redeemed on such Series A Redemption Date.
Shares to be Redeemed. If, on a Redemption Date, the Company has segregated, solely for the benefit of the applicable Holders, consideration in kind and amount that is sufficient to pay the aggregate Mandatory Redemption Price or Change of Control Redemption Price due on such date, then (unless there occurs a default in the payment of the Change of Control Redemption Price or Mandatory Redemption Price, as applicable) (1) the Convertible Preferred Stock to be redeemed on such date will be deemed, as of such date, to cease to be outstanding (without limiting the Company’s obligations pursuant to Section 5(c)); (2) Regular Dividends will cease to accumulate on such Convertible Preferred Stock from and after such Redemption Date; and (3) the rights of the Holders of such Convertible Preferred Stock, as such, will terminate with respect to such Convertible Preferred Stock, other than the right to receive the Change of Control Redemption Price or Mandatory Redemption Price, as applicable, as provided in Section 7 (and, if applicable, declared Regular Dividends as provided in Section 5(c)).
Shares to be Redeemed. Upon a Trigger Event which is a Redemption Event, the Company shall redeem that portion of the outstanding shares of Series A Preferred Stock equal to a fraction, the numerator of which is equal to the amount paid by the Parent to redeem shares of preferred stock of Parent in connection with the applicable Redemption Event, and the denominator of which is equal to the amount necessary to redeem in full all of the outstanding shares of preferred stock of Parent immediately prior to such Redemption Event. Upon a Trigger Event which is a Company Sales Event, the Company shall redeem the number of shares of Series A Preferred Stock calculated by dividing the Net Proceeds by the Mandatory Redemption Price (up to the maximum number of shares of Series A Preferred Stock which are outstanding). Upon a Trigger Event which is a Company Change of Control, the Company shall redeem all of the outstanding shares of Series A Preferred Stock. In the event less than all of the shares of Series A Preferred Stock are to be redeemed, such shares shall be redeemed ratably among all holders of such shares.
Shares to be Redeemed. In the event that any holder of Preferred Shares shall not have participated in the redemption in accordance with the preceding sentence, such holder of Preferred Share shall nevertheless have the right to require the Company to redeem all or part of the Preferred Shares held by it by initiating redemption pursuant to this Section 5.
Shares to be Redeemed. If, on a Redemption Date, the Paying Agent holds consideration in kind and amount that is sufficient to pay the aggregate Redemption Price due on such date, then (unless there occurs a default in the payment of the Redemption Price) (1) the Exchangeable Preferred Stock to be redeemed on such date will be deemed, as of such date, to cease to be outstanding (without limiting the Company’s obligations pursuant to Section 5(c)); and (2) the rights of the Holders of such Exchangeable Preferred Stock, as such, will terminate with respect to such Exchangeable Preferred Stock, other than the right to receive the Redemption Price as provided in Section 7 (and, if applicable, declared Dividends as provided in Section 5(c)).
Shares to be Redeemed. If, for any reason, less than all of the outstanding shares of Series C Preferred Stock are to be redeemed pursuant to Part (iv)(a) of this Section 4B, the Corporation shall determine the shares held by each holder of Series C Preferred Stock to be redeemed as hereinafter provided. The number of shares to be redeemed from each holder thereof shall be the number of shares determined by multiplying the total number of shares to be redeemed times a fraction, the numerator of which shall be the total number of shares of Series C Preferred Stock then held by such holder and the denominator of which shall be the total number of shares of Series C Preferred Stock then outstanding.

Provisions of this Indenture that apply to Debentures called for redemption also apply to portions of Debentures called for redemption. The Trustee shall notify the Company promptly of the Debentures or portions of Debentures to be redeemed.

  • Selection of Notes to Be Redeemed or Purchased If less than all of the Notes are to be redeemed at any time, the Trustee will select Notes for redemption on a pro rata basis (except that any Notes represented by a Global Note will be redeemed by such method as DTC may require), unless otherwise required by law or applicable stock exchange requirements.
