Solicitations of Employees. During the two (2) years period following voluntary or involuntary termination of employment with the Corporation (whether or not termination payments are being made) and for the additional time thereafter, if any, during which termination payments are being made, the Executive shall not, directly or indirectly, for his own account or as proprietor, stockholder, partner, director, officer, employee, agent or otherwise for or on behalf of any person, business, firm, corporation, partnership or other entity than the Corporation, its successors or assigns solicit any person who is an employee of the Corporation, its successors and assigns for employment with any person, business, firm, corporation, partnership or other entity other than the Corporation.

Solicitations of Employees. If this Agreement is terminated in accordance with Section 8.3, each of Horizon and Arrow agrees that neither of them nor any of their Affiliates will solicit, entice or offer employment to any employees of the Company for a period of three (3) years from the date of this Agreement; provided, that the foregoing shall not prohibit either of Horizon or Arrow from employing any individuals who have received notice of termination from, or ceased to be employed by, the Company prior to the first time such individuals discussed, with any representative of either of Horizon or Arrow, employment by either of them.

Without the prior written consent of Seller, Buyer agrees that for a period of three (3) years following the Closing Date, none of the portfolio companies of Xxxxxxx Pace Capital or Silver Brand Partners L.P. shall solicit for employment, directly or indirectly, any employee of Seller (it being expressly understood that the foregoing shall not prohibit such companies (i) from engaging in general solicitations not targeted at employees of Seller, (ii) from soliciting for employment any employee of Seller who has been terminated without cause or (iii) from soliciting for employment, after six (6) months of the date of termination, any employee of Seller who voluntarily has terminated his employment).

THE GRANTEE UNDERSTANDS THAT THIS PARAGRAPH IS NOT INTENDED TO AND DOES NOT PROHIBIT THE CONDUCT DESCRIBED, BUT PROVIDES FOR THE CANCELLATION OF THE UNITS AND A RETURN TO THE COMPANY OF THE SHARES OR THE GROSS TAXABLE PROCEEDS OF THE SHARES IF THE GRANTEE SHOULD CHOOSE TO VIOLATE THIS NON-SOLICITATION OF EMPLOYEES PROVISION DURING THE PERIOD OF RESTRICTION OR WITHIN ONE (1) YEAR AFTER THE SETTLEMENT DATE.
