Common use of Special Committee Clause in Contracts

Special Committee. Any action permitted or required to be taken under this Agreement by the Board of Directors of the Company, including without limitation any termination of this Agreement pursuant to Section 7.01 hereof, any amendment of this Agreement pursuant to Section 7.04 or any waiver pursuant to Section 7.05, and any consent, approval or determination permitted or required to be made or given by the Company pursuant to this Agreement, shall be made, taken or given, as the case may be, only with the concurrence, or at the direction, of the Special Committee, as the Special Committee may determine, from time to time, in its sole discretion.

Special Committee. Any action permitted or required to be taken under this Agreement by the Board of Directors of the CompanyBoard, including without limitation any termination of this Agreement pursuant to Section 7.01 6.01 hereof, any amendment of this Agreement pursuant to Section 7.04 6.04 or any waiver pursuant to Section 7.056.05, and any consent, approval or determination permitted or required to be made or given by the Company pursuant to this Agreement, shall be made, taken or given, as the case may be, only with the concurrence, or at the direction, of the Special Committee, as the Special Committee may determine, from time to time, in its sole discretion.
