Common use of Specifications and Change Control Clause in Contracts

Specifications and Change Control. a. The Specifications may not be changed without prior written approval of both parties. b. SUPPLIER shall not make any changes to the manufacturing process, Facilities, or equipment used in the manufacture of the Product without SPONSOR’S prior written approval, such approval not to be unreasonably withheld. c. SPONSOR shall use commercially reasonable efforts to provide SUPPLIER with sufficient written notice of any instructions or requirements of a government regulatory agency that may require a change of the Specifications. SUPPLIER shall immediately notify SPONSOR if any such changes in the Specifications shall render SUPPLIER unable to supply the Product in accordance with the term and conditions of this Agreement.
