Spouses of Members Sample Clauses

Spouses of Members. Spouses of any Members who are natural persons do not become Members as a result of such marital relationship. Each spouse of a Member that is a natural person shall be required to execute a spousal agreement in a form reasonably requested by the Company to evidence his or her agreement and consent to be bound by the terms and conditions of this Agreement that has been or will be executed by such Member or is otherwise binding on such Member.

Spouses of Members. Spouses of the Members do not become Members as a result of such marital relationship. Each spouse of a Member (who is not himself or herself a Member) has executed this Agreement and does acknowledge and understand that this Agreement specifically covers all interest in the Company now owned, hereafter acquired by, or otherwise attributed to their spouse.

Each spouse of a Member that is a natural person shall be required to execute a Spousal Agreement in the form of Exhibit C (“Spousal Agreement”) to evidence his or her agreement and consent to be bound by the terms and conditions of this Agreement, including Section 6.8, and each other relevant Transaction Document that has been or will be executed by such Member or is otherwise binding on such Member, including any applicable Award Agreement as to such spouse’s interest, whether as community property or otherwise, if any, in the Membership Interests owned by such Member, subject to any exclusions provided therein.

Each spouse of a Member shall be required to execute an Addendum Agreement in the form of Exhibit F to evidence their agreement and consent to be bound by the terms and conditions of this Agreement as to their interest, whether as community property or otherwise, if any, in the Membership Interests and Units owned by such Member.

Each spouse of a Member that is a natural person shall be required to execute an agreement in such form as is approved by the Manager to evidence his or her agreement and consent to be bound by the terms and conditions of this Agreement, as to such spouse’s Units, whether as community property or otherwise, if any, in the Units owned by such Member, and to acknowledge that the termination of the marital relationship between such spouse and such Member for any reason shall not have the effect of removing any Units otherwise subject to this Agreement from the coverage thereof.

Such Member’s non-delivery to the Company of an executed consent in the form of Exhibit B attached to these Regulations at any time shall constitute such Member’s continuing representation and warranty that such Member is not legally married as of such date.

Each spouse of a Member that is a natural person shall be required to execute a Spousal Agreement in substantially the form of Exhibit 3.8, or such other form as is approved by the Board of Managers, to evidence his or her agreement and consent to be bound by the terms and conditions of this Agreement and each other Transaction Document that has been or will be executed by such Member or is otherwise binding upon such Member, including any Grant Letter, as to such spouse’s interest, whether as community property or otherwise, if any, in the Membership Interests owned by such Member.
