Spyware/Adware. To the Knowledge of iLead and the Shareholders, iLead has not received any complaints of “adware,” “spyware” or “cookie stuffing” arising from or related to the Business of iLead. iLead does not engage or utilize “adware,” “spyware” or “cookie stuffing” and has taken commercially reasonable efforts to avoid such practices by its employees and agents.

Spyware/Adware. To the Knowledge of Litmus and the Shareholders after due inquiry with the employees of Litmus and its Subsidiaries, Litmus and its Subsidiaries have not received any complaints of Adware or Spyware or “cookie stuffing” arising from or related to the Business of Litmus and its Subsidiaries. To the Knowledge of Litmus and the Shareholders after due inquiry with the employees of Litmus and its Subsidiaries, Litmus and its Subsidiaries do not engage or utilize Adware or Spyware or “cookie stuffing” and have taken commercially reasonable efforts to avoid such practices by their respective employees and agents.

Each of the Sellers’ applications can be readily uninstalled by users using commercially available uninstall utilities, and no such application, if uninstalled, can reinstall itself without the consent of such users; provided that the Sellers make no representation or warranty that such uninstall process will always operate without error.

RESO has a “zero tolerance” policy regarding “adware,” “spyware” and “cookie stuffing” and takes commercially reasonable steps to investigate the practices regarding these activities by each of its Affiliates.

Spyware/Adware. To the Knowledge of Vintacom, it is not aware of any complaints existing as of the Closing Date of “adware,” “spyware” or “cookie stuffing” arising from or related to services performed by Vintacom that have not otherwise been resolved and no set of circumstances or practices exist that could give rise to a complaint. Vintacom and each Subsidiary has a “zero tolerance” policy regarding “adware,” “spyware” and “cookie stuffing” and takes commercially reasonable steps to investigate the practices regarding these activities by each of its Affiliates, and immediately terminates any Affiliate which Vintacom believes is violating the zero tolerance policy.

  • Company Software “Company Software” shall mean any software (including software development tools and software embedded in hardware devices, and all updates, upgrades, releases, enhancements and bug fixes) owned, developed (or currently being developed), used, marketed, distributed, licensed or sold by an Acquired Corporation at any time (other than non-customized third-party software that is not incorporated into any Company Product and is licensed to an Acquired Corporation solely in object code form and solely for internal use on a non-exclusive basis).

  • Computer Software All computer applications software, owned or licensed, whether for general business usage (e.g., accounting, word processing, graphics, spreadsheet analysis, etc.), or specific, unique-to-the-business usage, and all computer operating, security or programming software, owned or licensed by Seller and used in the operation of the Business; and

  • Computer Systems (a) The Computer Systems adequately meet the data processing and other computing needs of the Business as presently conducted. The Computer Systems function, operate, process and compute in accordance with all Applicable Laws, industry standards and trade practices.

  • IBM Credit may in its sole discretion from time to time decide the amount of credit IBM Credit extends to Customer, notwithstanding any prior course of conduct between IBM Credit and Customer. IBM Credit may combine all of its advances to make one debt owed by Customer.

  • End Users LICENSEE agrees to require all direct recipients of Licensed Products to whom Licensed Products are sold, leased, or otherwise disposed of by LICENSEE or its sublicensees, to look only to LICENSEE and not to LICENSOR or its affiliates for any claims, warranties, or liability relating to such Licensed Products. LICENSEE agrees to take all steps to reasonably assure itself that Licensed Products sold, leased or otherwise disposed of by or for LICENSEE is being used for permitted purposes only.

  • Motorola retains the right to subcontract, in whole or in part, any effort required to fulfill its obligations under this Agreement, provided Motorola shall remain liable for performance hereunder.

  • DTC DIRECT REGISTRATION SYSTEM AND PROFILE MODIFICATION SYSTEM (a) Notwithstanding the provisions of Section 2.4 of the Deposit Agreement, the parties acknowledge that DTC’s Direct Registration System (“DRS”) and Profile Modification System (“Profile”) apply to the American Depositary Shares upon acceptance thereof to DRS by DTC. DRS is the system administered by DTC that facilitates interchange between registered holding of uncertificated securities and holding of security entitlements in those securities through DTC and a DTC participant. Profile is a required feature of DRS that allows a DTC participant, claiming to act on behalf of an Owner of American Depositary Shares, to direct the Depositary to register a transfer of those American Depositary Shares to DTC or its nominee and to deliver those American Depositary Shares to the DTC account of that DTC participant without receipt by the Depositary of prior authorization from the Owner to register that transfer.
