Common use of Standard of Work Clause in Contracts

Standard of Work. Without limiting any other provision of this Agreement, the Contractor will, at its sole expense, carry out the Work and perform all of its obligations under this Agreement: (a) in a good, workmanlike, safe, efficient, environmentally sound and diligent manner: (i) in accordance with the best modern timber harvesting practices used on the Coast of British Columbia; and (ii) to the satisfaction of the Company, acting reasonably; and (b) in compliance with all of the following that are applicable to the Work, the Lands or the obligations of the Contractor under this Agreement: (i) federal, provincial, regional and municipal laws, by-laws, rules and regulations, including the Forest Act, FRPA, Wildfire Act and Workers Compensation Act; (ii) Logging Plans; (iii) Operational Documents; (iv) Standards and Specifications; (v) lawful directions that are consistent with this Agreement and reasonable in the circumstances that the Company in its sole discretion may at any time, and from time to time, during the Term give to the Contractor; and (vi) lawful orders, directions or other decisions that governmental authorities may give or make in respect of the Work or the operations of the Contractor under this Agreement, and any amendments to any of the foregoing that may be made.
