Stockholder Approval Obtained. The Company shall have obtained all necessary stockholder approval to have filed the Charter Amendment, the Certificate of Designation (Series B) and the Amended and Restated Certificate of Designation (Series A-1), including the holders of the Series A-1 Preferred Stock voting separately as a class (and with respect to the Amended and Restated Certificate of Designation (Series A-1), the holders of Common Stock and Series A-1 Preferred Stock voting together as a class).
Stockholder Approval Obtained. The Company shall have obtained all necessary stockholder approvals to have filed the Charter Amendment, the Certificate of Designation (Series C), the Amended and Restated Certificate of Designation (Series B) and the Second Amended and Restated Certificate of Designation (Series A-1), including the approval of the requisite holders of Common Stock voting separately as a class with respect to the Charter Amendment, the requisite holders of Common Stock, Series A-1 Preferred Stock and Series B Preferred Stock voting together as a class (on an as-converted basis) with respect to the Charter Amendment, the requisite holders of Series A-1 Preferred Stock and Series B Preferred Stock voting together as a class with respect to the Charter Amendment, the requisite holders of the Series B Preferred Stock voting separately as a class with respect to the Charter Amendment, the requisite holders of the Series B Preferred Stock voting separately as a class with respect to the Amended and Restated Certificate of Designation (Series B) and the requisite holders of Series A-1 Preferred Stock voting separately as a class, with respect to the Second Amended and Restated Certificate of Designation (Series A-1).
