Examples of Series B in a sentence
Upon satisfaction of the conditions specified in the NPA and the Applicable Participation Agreement, the Trustee shall purchase the applicable Series B Equipment Notes with the proceeds of the withdrawals of one or more Deposits made on the Applicable Funding Date in accordance with the terms of the Deposit Agreement and the Escrow Agreement.
The purchase price of such Series B Equipment Notes shall equal the principal amount of such Series B Equipment Notes.
If any Deposits remain outstanding on the Business Day next succeeding the Cut-off Date, the Trustee shall promptly give the Escrow Agent notice, as contemplated by clause (ii) of Section 1.02(f) of the Escrow Agreement, that the Trustee’s obligation to purchase Series B Equipment Notes under the NPA has terminated and the Cut-off Date has occurred.
For the avoidance of doubt, if Company shall issue new “Series B Equipment Notes” or “Additional Series Equipment Notes” of any Series or new “Additional Series Equipment Note” of any Series, in each case under any Related Indenture, the Company may, but shall not be required to, issue, as the case may be, new Series B Equipment Notes or Additional Series Equipment Notes of the same Series or new Additional Series Equipment Notes of the same Series, in each case under this Indenture.
The combined purchase price for one Share, one Series A Warrant and one Series B Warrant shall be $1.365 (the “Combined Purchase Price”) which shall be allocated as $1.3468 per Share (the “Share Purchase Price”), $0.0091 per one Series A Warrant and $0.0091 per one Series B Warrant (each, the “Warrant Purchase Price”).
