Stockholders Voting Agreement. The Company and each of the parties named therein shall enter into that certain Stockholders Voting Agreement (the “Stockholders Voting Agreement”) in form and substance as set forth in Exhibit I attached hereto.
Stockholders Voting Agreement. Concurrently with the execution of this Agreement, the Founders, the Company, Rackable and the Purchaser shall execute a Stockholder Voting Agreement in substantially the form of EXHIBIT B attached hereto and incorporated herein by reference.
Stockholders Voting Agreement. Pursuant to the terms of the Stockholders Voting Agreement, the stockholders of the Borrower owning, or controlling the voting power of, greater than 50% of the issued and outstanding shares of Common Stock have agreed to vote the shares of Common Stock owned by them in favor of the transactions contemplated by this Agreement.
Stockholders Voting Agreement. A Stockholder's Voting Agreement, in the form attached hereto as Exhibit H, shall have been executed and delivered by the Company and the stockholders as set forth in Schedule 5.01(p).

All such action shall have been taken as may be necessary to elect a Board of Directors of the Company, effective upon the Closing, in accordance with the Stockholders' Voting Agreement.
Stockholders Voting Agreement. The Stockholders' Voting Agreement attached hereto as Exhibit F (the "Stockholders' Voting Agreement") shall have been executed and delivered by each of the Purchasers and by each of the other stockholders of the Company who are parties thereto. All such action shall have been taken as may be necessary to elect a Board of Directors of the Company, effective upon the Closing, in accordance with the Stockholders' Voting Agreement.
Stockholders Voting Agreement. The directors and executive officers of each of Brillian and Syntax and those additional persons specified in Exhibit J shall have entered into a Stockholders’ Voting Agreement in the form of Exhibit J hereto agreeing to vote for Vxxxxxx Xxxxxxxx, Jxxxx Xx, Txxxxx Xxxx, Cxxxxxxxxxx Xxx and five independent directors mutually satisfactory to each of the foregoing and in favor of two private financings effected by Brillian on or before the date of this Agreement.
Stockholders Voting Agreement. The Stockholders' Voting Agreement attached hereto as EXHIBIT F (the "Stockholders' Voting Agreement") shall have been executed and delivered by BayCorp and each of the Purchasers. All such action shall have been taken as may be necessary to elect a Board of Directors of the Company, effective upon the Closing, in accordance with the Stockholders' Voting Agreement.
Stockholders Voting Agreement. Ungax, X. Donaxx Xxxxx, XX, xxd the Company each agree that the Stockholders Voting Agreement is terminated, cancelled and rescinded as of the Stock Closing Date.
Stockholders Voting Agreement. Synovics has prepared and circulated for review by the principal stockholders of the Company (including Xxxxxx Xxxx; Xxxxxxx Pharmaceuticals Ltd (“Xxxxxxx”); Xxxxxxxxx Xxxxx (“Xxxxx”); Axiom Capital Management, Inc.; and their respective affiliates and associates), a draft stockholders voting agreement (“Stockholders Agreement”) pursuant to which, among other things, such principal stockholders will vote all of their shares of Company stock in favor of the parties designated for election to the Company’s Board in Section 3 of the Xxxxxxx Side Letter under the caption “Board Structure.” The Company shall execute and deliver the Stockholders Agreement promptly after the terms and conditions thereof are agreed to the reasonable satisfaction of the parties thereto.
