Subcommittees of the JSC. From time to time, the JSC may establish subcommittees, as it deems necessary or advisable to further the purposes of this Agreement, including any responsibilities assigned to the JSC under this Agreement; provided, however, that (a) the JSC shall not delegate its decision-making authority and (b) no subcommittee shall have any power to amend, modify or waive compliance with the CCRSA or this Agreement. All decisions of each subcommittee shall be made by unanimous decision, with each Party’s designated subcommittee members having collectively one (1) vote in all decisions. If, with respect to a matter that is subject to a subcommittee’s decision-making authority, the subcommittee cannot reach unanimity, the matter shall be referred to the JSC for resolution.

Subcommittees of the JSC. The JSC may establish subcommittees from time to time to oversee particular projects or activities, as it deems necessary or advisable and otherwise in accordance with this Section 5.7. Without limitation of the foregoing, the JSC shall establish the following subcommittees:
Subcommittees of the JSC. From time to time, the JSC may establish Subcommittees, as it deems necessary or advisable to further the purposes of this Agreement, including any responsibilities assigned to the JSC under this Agreement; provided, however, that (a) the JSC will not delegate its decision-making authority and (b) no Subcommittee will have any power to amend, modify or waive compliance with this Agreement. Each Subcommittee will consist of an equal number of representatives of each Party (unless otherwise agreed by the Parties) and meet with such frequency as the JSC determines is appropriate from time to time. The purpose, scope and procedures of any such Subcommittee will be mutually agreed by the Parties via the JSC. All decisions of each Subcommittee will be made by unanimous decision, with each Party’s designated Subcommittee members having collectively one (1) vote in all decisions. If, with respect to a matter that is subject to a Subcommittee’s decision-making authority, the Subcommittee cannot reach unanimity, the matter will be referred to the JSC for resolution.

  • Committees of the Board The Board of Managers may from time to time appoint such standing or special committees as it may deem for the best interest of the Company, but no such committee shall have any powers, except such as are expressly conferred upon it by the Board of Managers.

Except as otherwise provided in this Agreement, the Committees shall convene in regular session once a year at the same time the Free Trade Commission convenes. When special circumstances arise, the Parties shall meet at any time upon agreement at the request of one Party. Regular sessions of the Committees shall be chaired successively by each Party. Other sessions of the Committee shall be chaired by the Party hosting the meeting. The sessions may be held by any technological means available to the Parties. 4. When necessary, the Committees created hereby shall consult with such other Committees as needed to address the issues they handle.

  • Executive Committee (A) The Executive Committee shall be composed of not more than nine members who shall be selected by the Board of Directors from its own members and who shall hold office during the pleasure of the Board.
