SUBCONTRACTING OR ASSIGNMENT OF SERVICES. The Contractor shall not subcontract or assign any of the Services to be performed under this Agreement without the written consent of the City. If the City determines that an unauthorized subcontractor is being used, then that subcontractor will be instructed to immediately cease operations and the Contractor will not be paid for that time.

SUBCONTRACTING OR ASSIGNMENT OF SERVICES. Consultant may not subcontract or assign any of the Professional Services to be performed under this Agreement without first obtaining the written approval of City. Unless otherwise stated in the written consent to an assignment, no assignment will release or discharge Consultant from any obligation under this Agreement. Any person or firm proposed for subcontracting Professional Services under this Agreement will maintain throughout the duration of the Agreement, insurance as provided in Section V.D.2. herein, and will additionally maintain Professional Liability insurance in a minimum amount of $1,000,000 per claim and in the aggregate and provide City with an insurance certificate showing the insurance limits provided by Consultant’s subconsultant. Any services completed by a City-approved subcontractor of Consultant pursuant to this Agreement may not be increased more than ten percent (10%) over the actual cost of the services.

  • Subcontracting or Assignment The Contractor shall not subcontract or assign any part of the work to be covered by this Agreement without the District’s prior written approval. In aid of the District’s consideration of potential subcontractors or assignees, the Contractor will provide the District with the following documentation from subcontractors and assignees: • The name and address of the subcontractor and/or assignee and list of all of the employees who will provide the services on behalf of the subcontractor/assignee, and any additional resumes or other information about the subcontractor/assignee’s requested by the District. • Proof of insurance equal to or greater than the insurance requirements of this Agreement. • The subcontractor/assignee’s city/county business license and any other certifications necessary to show that subcontractor/assignee is qualified to provide the goods and/or services required by this agreement.

  • Prohibition Against Subcontracting or Assignment The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for the City to enter into this Agreement. Therefore, Consultant shall not contract with any other entity to perform in whole or in part the services required hereunder without the express written approval of the City. In addition, neither this Agreement nor any interest herein may be transferred, assigned, conveyed, hypothecated or encumbered voluntarily or by operation of law, whether for the benefit of creditors or otherwise, without the prior written approval of City. Transfers restricted hereunder shall include the transfer to any person or group of persons acting in concert of more than twenty five percent (25%) of the present ownership and/or control of Consultant, taking all transfers into account on a cumulative basis. In the event of any such unapproved transfer, including any bankruptcy proceeding, this Agreement shall be void. No approved transfer shall release the Consultant or any surety of Consultant of any liability hereunder without the express consent of City.

  • Subcontracting; Assignment The Contractor may not subcontract any portion of the services provided under this Contract without obtaining the prior written approval of the Procurement Officer, nor may the Contractor assign this Contract or any of its rights or obligations hereunder, without the prior written approval of the Procurement Officer provided, however, that a contractor may assign monies receivable under a contract after due notice to the State. Any subcontracts shall include such language as may be required in various clauses contained within this Contract, exhibits, and attachments. The Contract shall not be assigned until all approvals, documents, and affidavits are completed and properly registered. The State shall not be responsible for fulfillment of the Contractor’s obligations to its subcontractors.

  • Subcontract The Distributor may, at its expense and with the approval of the Trustees, appoint another firm or company as its sub-distributor or agent. The Distributor shall not, however, be relieved of any of its obligations under this Agreement by the appointment of such sub-distributor or agent.
