Submission and Processing of Entries. a. Entries will be made only to accounts held at Bank or other Depository Financial Institutions ("DFI”) as defined by the Rules. b. All Entries shall be initiated by Customer in Accordance with this Agreement and in accordance with the Rules, including the section of the Rules entitled "Rights and Obligations of Companies." c. If the amount of a Debit Entry initiated by the Customer for processing to a Receiver's account maintained at the Bank, with respect to a particular transaction with a Receiver, differs from that of the next previous Debit Entry relation to the same authorization, or from the preauthorized amount, the Customer shall, at least ten 10 days before such succeeding Entry is scheduled to be debited to the Receiver's account, send such Receiver written notification of the amount of such Entry and the date on or after which such Entry is scheduled to be debited to the Receiver's account. If the Customer informs a Receiver of the right to receive such notification, the Receiver may elect to receive notice only when an Entry does not fall within the specified range of amounts, or, alternatively, only when an Entry differs from the most recent Entry by more than an agreed upon amount. d. Where any customer has authorized Customer to initiate Debit Entries and the amount of billing day changes from the next preceding Debit Entry, Customer will notify such customer of the change at least seven 7 day before initiating the next Entry. e. If the Customer is scheduled to initiate Credit Entries for processing to a Receiver’s account maintained at the Bank at least once every sixty 60 days, the Customer shall provide to the Receiver notice that each Entry has been initiated. f. All entries shall be received, processed and transmitted by Bank pursuant to the Rules. Bank's obligation hereunder in connection with the making of Entries shall be those of Origination Depository Financial Institution (“ODFI") under the rules, unless otherwise specified and provided herein. g. If the amount of a Debit Entry or Credit Entry initiated by the Customer for processing is a corporate to corporate transaction, governing rules for such payment will apply. h. Bank will originate the following entries: PPD and CCD. Additional types of entries requested by Customer are subject to additional terms and conditions contained in this Agreement.

Submission and Processing of Entries. a. 11.1 Unless otherwise specified in the Application, for standardization
11.2 Entries will be made only to accounts held at Bank or other Participating Depository Financial Institutions ("DFI”) as defined Institutions.
11.3 Except in the case of same day Entries, if an order to Bank to transfer funds via ACH is received by Bank on any Business Day by the Rules.Cut-Off Time, and the ACH is open for business on such Business Day, the order will be processed and charged against the Account from which the transfer is to be made on the Effective Entry Date, which is the Business Day specified by the Originator on which it intends a batch of Entries to be settled. If the order is received by Bank on any Business Day after the Cut-Off Time or on a day that is not a Business Day, it will be processed on the next Business Day and charged against the Account from which the transfer is to be made on the effective date of each file received as determined by Bank, unless that date is a not a Business Day, and then on the next Business Day.
b. 11.4 Unless Company has been approved by Bank for same day ACH Services, Bank will not accept and process a credit Entry or a debit Entry submitted by Company that is coded as a same day Entry. Same day Entries are subject to the terms of Section 32 of this Subpart.
11.5 All Entries Entry information so delivered shall be initiated in the medium required by Customer in Accordance with this Agreement Bank and the format required by the NACHA Rules. If the file of Entries to Bank is by electronic transmission, Company will transmit the Entries in accordance with the Rules, including the section of the NACHA Rules entitled "Rights and Obligations of Companiesor as otherwise instructed by Bank."
c. 11.6 If the amount of a Debit debit Entry initiated by the Customer Company for processing to a Receiver's ’s account maintained at the Bankfor personal, with respect to a particular transaction with a Receiverfamily, or household purposes, differs from that of the next previous Debit debit Entry relation relating to the same authorizationAuthorization, or from the preauthorized amount, the Customer shall, at least ten 10 days before such succeeding Entry is scheduled to be debited to the Receiver's account, send such Receiver written notification of the amount of such Entry and the date on or after which such Entry is scheduled to be debited to the Receiver's account. If the Customer informs a Receiver of the right to receive such notification, Company shall provide the Receiver may elect to receive notice only when an Entry does not fall within with the specified range of amountsnotification required by EFTA, or, alternatively, only when an Entry differs from the most recent Entry by more than an agreed upon amountif applicable.
d. Where any customer has authorized Customer to initiate Debit Entries and the amount of billing day changes from the next preceding Debit Entry, Customer will notify such customer of the change at least seven 7 day before initiating the next Entry.
e. 11.7 If the Customer Company is scheduled to initiate Credit credit Entries for processing to a Receiver’s account for personal, family, or household purposes maintained at the Bank at least once every sixty 60 (60) days, the Customer Company shall provide to the Receiver notice that each Entry has been initiatedinitiated as required by EFTA, if applicable.
f. All entries 11.8 Unless otherwise provided herein, Bank shall be received(i) process Entries received from Company to conform with the file specifications set forth in the NACHA Rules, processed and transmitted by Bank (ii) transmit such Entries as an ODFI pursuant to the NACHA Rules. Bank's obligation hereunder in connection with , and (iii) settle for such Entries as required by the making of Entries shall be those of Origination Depository Financial Institution (“ODFI") under the rules, unless otherwise specified and provided hereinNACHA Rules.
g. 11.9 If any of the amount requirements of a Debit Entry or Credit Entry initiated Company set forth in Section 0 are not met, Bank shall use reasonable efforts to transmit such Entries to the ACH by the Customer next deposit deadline of the ACH for processing Entries following that specified in Section 0 which is a corporate to corporate transaction, governing rules Business Day and a day on which the ACH is open for such payment will applybusiness.
h. Bank will originate the following entries: PPD and CCD. Additional types of entries requested by Customer are subject to additional terms and conditions contained in this Agreement.
