Common use of Subprocessors Clause in Contracts

Subprocessors. Provider shall enter into written agreements with all Subprocessors that receive personally identifiable information of students in performing functions for the Provider in order for the Provider to provide the Services pursuant to the Service Agreementthis DPA, whereby the Subprocessors agree to protect Student Data in a manner no less stringent than consistent with the terms of this DPA.

The terms of a Subprocessor Agreement shall not be materially modified by the Subprocessor unless notice is provided to the Provider.

Where feasible, Provider shall enter into written agreements with all Subprocessors performing functions for functionsfor the Provider in order for the Provider to provide the Services pursuant to the Service Agreement, whereby the Subprocessors agree to protect Student Data in a manner no less stringent than the terms of this DPA. Provider will vet each of its Subprocessors with respect to their data security practices and periodically review their compliance.

Subprocessors. The Provider shall enter into written agreements with all Subprocessors performing functions for the Provider in order for the Provider to provide the Services pursuant to the Service Agreement, whereby the Subprocessors agree to protect Student Data in a manner no less stringent than consistent with the terms of this DPA, as well as state and federal law. The Provider will remain responsible for its compliance with the obligations of this DPA and for any act or omissions of Subprocessors that cause the Provider to breach any of Provider’s obligations under this DPA.

Provider shall enter into written agreements with all Subprocessors performing functions for the Provider in order for the Provider to provide the Services pursuant to the Service Agreement, whereby the Subprocessors agree to protect Student Data in a manner no less stringent than the terms of this DPA.

Provider shall enter into written agreements with all Subprocessors performing functions for the Provider in order for the Provider to provide the Services pursuant to the Service Agreement, whereby the Subprocessors agree to protect Student Data (i) in a manner no less stringent than the terms of this DPADPA and (ii) pursuant to data protection obligations applicable to the Subprocessor as set forth in the DPA or as required by an applicable law.r.

Subprocessors. Provider shall enter into written agreements with all Subprocessors performing functions for the Provider in order for the Provider to provide the Services pursuant to the Service Agreement, whereby the Subprocessors agree to protect Student Data in a manner no less stringent than the terms of this DPA, as well as state and federal law.

Provider shall enter into written agreements with all Subprocessors performing functions for the Provider in order for the Provider to provide the Services pursuant to the Service Agreement, whereby the Subprocessors agree to protect Student Data in a manner no less stringent than consistent with the terms of this DPADPA implement and maintain reasonably designed security program, as well as state and federal law.
