Subrogación. El Garante se compromete a no ejercer ningún derecho que pudiera corresponderle frente a la Compañía hasta que la totalidad de las Obligaciones ante Santander se hayan liquidado por completo. Si cualquier importe se hubiera pagado al Garante contraviniendo el compromiso anterior, dicho importe se mantendrá en depósito en beneficio de Santander y será entregado a éste para su aplicación a las Obligaciones.

Subrogación. En caso que una de las Partes Contratantes o una agencia de una de ellas realizara un pago a cualquiera de sus inversores en virtud de una garantía o un contrato de seguro que hubiera contraído con relación a una inversión, la otra Parte Contratante reconocerá la validez de la subrogación, en favor de dicha Parte Contratante o su agencia, sobre cualquier derecho del inversor.
Subrogación. Si una Parte Contratante realizara un pago a cualquiera de sus inversores en virtud de una garantía que hubiere contratado en relación a una inversión, la otra Parte Contratante reconocerá, sin perjuicio de los derechos de la primera Parte Contratante previstos en el Artículo 7, la transferencia de cualquier derecho o título de tal inversor a la primera Parte Contratante y la validez de la subrogación de la primera Parte Contratante a cualquier derecho o título.
Subrogación. Si la Parte Contratante o su agencia designada ("La Parte Indemnizada") realiza pagos bajo una indemnización o garantía que haya asumido en relación a una inversión en el territorio de la otra Parte Contratante, la última Parte contratante reconocerá:
Subrogación. Cuando una Parte Contratante o el organismo que ésta designe hubiera garantizado cualquier indemnización contra riesgos civiles con respecto a una inversión realizada por cualquiera de sus inversores en el territorio de la otra Parte Contratante y hubiera pagado a dichos inversores respecto de sus reclamos en virtud del presente Acuerdo, la otra Parte Contratante reconocerá que la primera Parte Contratante o el organismo que ésta designe están facultados en virtud de la subrogación a ejercer los derechos y hacer valer los reclamos de dichos inversores. Los derechos y reclamos subrogados no excederán los derechos o reclamos originales de tales inversores.
Subrogación. A partir de la fecha del presente Contrato, la Compradora adquiere todos los derechos y se subroga en todas las obligaciones impuestas por la Ley Minera y su Reglamento como titular de las Concesiones Mineras.

Si Usted cancela este Contrato dentro de los treinta (30) xxxx siguiente al recibo de Su Contrato, recibirá un reembolso total. Si Usted cancela pasados los treinta (30) ´xxxx del recibo de Su Contrato, Usted recibirá un reembolso prorrata en base al plazo de vencimiento menos veinticinco dólares ($25) en concepto de tasa de cancelación, o un diez por ciento (10%) del precio de compra (el que sea menor), menos el costo de los reclamos pagados. Nosotros no podemos cancelar este Contrato excepto en caso de fraude, tergiversación material o falta de pago de Su parte; o si así lo requiriera una autoridad reguladora. El aviso de tal cancelación será por escrito y será enviado al menos treinta (30) xxxx antes de la cancelación. Si Nosotros cancelamos, la prima de devolución estará basada en el cien por ciento (100%) de la prima prorrata no devengada.   • Subrogation, etc Upon payment by the Company of any sum to the Administrative Agent for the ratable benefit of any Bank as provided above, so long as any of the Borrowing Subsidiary Obligations of a Borrowing Subsidiary shall remain outstanding hereunder, all rights of the Company against such Borrowing Subsidiary arising as a result thereof, by way of right of subrogation or otherwise, shall in all respects be subordinate and junior in right of payment to the prior indefeasible payment in full of all the Borrowing Subsidiary Obligations of that Borrowing Subsidiary to the Administrative Agent and the Banks. In furtherance of the foregoing, and not in limitation thereof, the Company agrees that until the Borrowing Subsidiary Obligations of a Borrowing Subsidiary shall have been paid in full, the Commitment has terminated and all Letters of Credit issued for the account of such Borrowing Subsidiary have expired, the Company shall withhold exercise of any right of subrogation, or any right to enforce any remedy which the Administrative Agent or any Bank may have against that Borrowing Subsidiary. If any amount shall be paid to the Company on account of such subrogation rights at any time prior to the date when the Borrowing Subsidiary Obligations of such Borrowing Subsidiary have been paid in full, the Commitment has terminated and all Letters of Credit issued for the account of such Borrowing Subsidiary have expired, such amount shall be held in trust for the benefit of the Banks and shall be paid to the Administrative Agent for the benefit of the Banks to be credited and applied upon the Borrowing Subsidiary Obligations of such Borrowing Subsidiary, whether matured or unmatured, in accordance with the terms of the Credit Agreement or to be held by the Administrative Agent for the benefit of the Banks as collateral security for any Obligations thereafter existing.

  • Subrogation In the event of payment under this Agreement, the Company shall be subrogated to the extent of such payment to all of the rights of recovery of Indemnitee, who shall execute all papers required and shall do everything that may be necessary to secure such rights, including the execution of such documents necessary to enable the Company effectively to bring suit to enforce such rights.

The Guarantor hereby agrees that it shall have no rights of subrogation, reimbursement, exoneration, contribution or indemnification or any right to participate in any claim or remedy of the Administrative Agent or any Lender against BLFC with respect to amounts due to the Administrative Agent or the Lenders until such time as all obligations of BLFC to the Lenders and the Administrative Agent have been paid in full, the Commitments have been terminated and the Credit Agreement has been terminated.

  • Subrogation and Similar Rights Notwithstanding any other provision of this Agreement or any other Loan Document, each Borrower irrevocably waives all rights that it may have at law or in equity (including, without limitation, any law subrogating the Borrower to the rights of Bank under the Loan Documents) to seek contribution, indemnification, or any other form of reimbursement from any other Borrower, or any other Person now or hereafter primarily or secondarily liable for any of the Obligations, for any payment made by the Borrower with respect to the Obligations in connection with the Loan Documents or otherwise and all rights that it might have to benefit from, or to participate in, any security for the Obligations as a result of any payment made by the Borrower with respect to the Obligations in connection with the Loan Documents or otherwise. If any payment is made to a Borrower in contravention of this Section 14.4, such Borrower shall hold such payment in trust for Bank and such payment shall be promptly delivered to Bank for application to the Obligations, whether matured or unmatured.

In addition, until the Guaranteed Obligations shall have been indefeasibly paid in full, each Guarantor shall withhold exercise of any right of contribution such Guarantor may have against any other guarantor (including any other Guarantor) of the Guaranteed Obligations, including any such right of contribution as contemplated by Section 7.2. Each Guarantor further agrees that, to the extent the waiver or agreement to withhold the exercise of its rights of subrogation, reimbursement, indemnification and contribution as set forth herein is found by a court of competent jurisdiction to be void or voidable for any reason, any rights of subrogation, reimbursement or indemnification such Guarantor may have against Borrower or against any collateral or security, and any rights of contribution such Guarantor may have against any such other guarantor, shall be junior and subordinate to any rights any Beneficiary may have against Borrower, to all right, title and interest any Beneficiary may have in any such collateral or security, and to any right any Beneficiary may have against such other guarantor. If any amount shall be paid to any Guarantor on account of any such subrogation, reimbursement, indemnification or contribution rights at any time when all Guaranteed Obligations shall not have been finally and indefeasibly paid in full, such amount shall be held in trust for Administrative Agent on behalf of Beneficiaries and shall forthwith be paid over to Administrative Agent for the benefit of Beneficiaries to be credited and applied against the Guaranteed Obligations, whether matured or unmatured, in accordance with the terms hereof.

  • Subrogation and Cooperation (a) The Issuer and the Indenture Trustee acknowledge that (i) to the extent the Credit Enhancer makes payments under the Credit Enhancement Instrument on account of principal of or interest on the Notes, the Credit Enhancer will be fully subrogated to the rights of such Holders to receive such principal and interest from the Issuer, and (ii) the Credit Enhancer shall be paid such principal and interest but only from the sources and in the manner provided herein and in the Insurance Agreement for the payment of such principal and interest. The Indenture Trustee shall cooperate in all respects with any reasonable request by the Credit Enhancer for action to preserve or enforce the Credit Enhancer's rights or interest under this Indenture or the Insurance Agreement without limiting the rights of the Noteholders as otherwise set forth in the Indenture, including, without limitation, upon the occurrence and continuance of a default under the Insurance Agreement, a request to take any one or more of the following actions: (i) institute Proceedings for the collection of all amounts then payable on the Notes, or under this Indenture in respect to the Notes and all amounts payable under the Insurance Agreement enforce any judgment obtained and collect from the Issuer monies adjudged due; (ii) sell the Trust Estate or any portion thereof or rights or interest therein, at one or more public or private Sales called and conducted in any manner permitted by law; (iii) file or record all Assignments that have not previously been recorded; (iv) institute Proceedings from time to time for the complete or partial foreclosure of this Indenture; and (v) exercise any remedies of a secured party under the Uniform Commercial Code and take any other appropriate action to protect and enforce the rights and remedies of the Credit Enhancer hereunder.

For purposes of such subrogation, no payments or distributions to the holders of the Senior Debt of any cash, property or securities to which the Holders of the Securities or the Trustee would be entitled except for the provisions of this Article XII, and no payments made pursuant to the provisions of this Article XII to the holders of Senior Debt by Holders of the Securities or the Trustee, shall, as among the Company, its creditors other than holders of Senior Debt, and the Holders of the Securities, be deemed to be a payment or distribution by the Company to or on account of the Senior Debt.
