Common use of Subscriber Obligations Clause in Contracts

Subscriber Obligations. 7.1 The obligations in this paragraph 7 of this Schedule apply in addition to those listed in clause 3 of the LME Market Data Licence General Terms. 7.2 The Subscriber will be responsible for its Users, and shall assume all risk associated with, any opinions, recommendations, forecasts or other comments made or actions taken by Users, based in whole or in part on the Data as incorporated in Authorised Device/s. 7.3 The Subscriber shall be responsible for controlling access to the Data by Users who use the Data pursuant to this Agreement. In accordance with the LME Policy, the Subscriber may be required to provide details of this internal usage to the Licensee to be included in the Reports to the LME. 7.4 The Subscriber shall ensure that it has appropriate systems, rules, procedures and policies in place to allow access to Users and to ensure Users’ compliance with all relevant terms of the Subscriber Agreement. 7.5 If the Subscriber is eligible under the LME’s Natural User Policy, the Subscriber shall, upon approval from the LME, comply with the Natural User Policy with respect to this paragraph 7 and as set out in the LME Policy. 7.6 Where access to an Authorised Device is controlled by means of an Access ID, the Subscriber must not allow any third party to access the Data through the use of the Access ID and passwords allocated to its Users in connection with this Agreement. 7.7 The Subscriber shall install and maintain suitable control and security systems in order to prevent any unlawful use of the Data or use in violation of this Agreement. 7.8 The Subscriber shall install its own physical and software security systems to protect its information technology equipment, in particular a firewall securing all information and telecommunications systems from the intrusion of third parties not authorised under this Agreement. 7.9 The Subscriber undertakes to comply with the requirements in relation to Reports contained in the in the LME Policy and the Price List.
