SUBSIDIARIES, ASSOCIATES AND BRANCHES. 3.2.1 The Company does not have any subsidiary or subsidiary undertaking and does not have any interest in, and has not agreed to acquire any interest in, any shares of any other bodies corporate.
3.2.2 The Company has no branch, agency or place of business, or any permanent establishment (as that expression is defined in the relevant double taxation relief orders current at the date of this Agreement) outside Ireland.
3.2.3 The Company does not and has never had any associated undertaking within the meaning of the European Communities (Companies: Group Accounts) Regulations, 1992.
SUBSIDIARIES, ASSOCIATES AND BRANCHES. The Company does not have any subsidiary or subsidiary undertaking, other than Microcellular Systems USA and Microcellular Systems, Ltd. (U.K.).
SUBSIDIARIES, ASSOCIATES AND BRANCHES. Other than the Subsidiaries, the Company is not the holder or beneficial owner of and has not agreed to acquire any interest in any undertaking or in any share or loan capital of any other company (whether incorporated in the United Kingdom or elsewhere).
SUBSIDIARIES, ASSOCIATES AND BRANCHES. The Company:
5.3.1 is not and has never been the holder or beneficial owner of nor has it agreed to acquire any share or loan capital of any other company (whether incorporated in the UK or elsewhere);
5.3.2 does not have outside the UK any branch, agency or place of business, or any permanent establishment (as that expression is defined in the relevant double taxation relief orders current at the date of this Agreement); and
5.3.3 does not have, nor has it had, any associated company (that is to say a company which falls to be treated as such for the purposes of SSAP 1).
SUBSIDIARIES, ASSOCIATES AND BRANCHES. The Company:-
(a) is not the holder or beneficial owner of, and has not agreed to, acquire any share or loan capital of any other company (whether incorporated in the United Kingdom or elsewhere) other than the Subsidiaries; and
(b) does not have outside the United Kingdom any branch, agency or place of business, or any permanent establishment (as that expression is defined in the relevant double taxation relief orders current at the date of this Agreement).
SUBSIDIARIES, ASSOCIATES AND BRANCHES. No Group Company:
9.1.1 is the holder or beneficial owner of, or has agreed to acquire, any share or loan capital of any other company (whether incorporated in Singapore or elsewhere); and
9.1.2 has any branch, agency, division or establishment outside the jurisdiction in which it is incorporated.
SUBSIDIARIES, ASSOCIATES AND BRANCHES. (i) The Company does not have any subsidiary or subsidiary undertaking other than the Subsidiaries and no Acquired Company has any interest in, and has not agreed to acquire any interest in, any shares of any other bodies corporate other than the Subsidiaries.
(ii) The shares in the share capital of the Subsidiaries are legally and beneficially owned as shown in the Second Schedule free from all Encumbrances and are fully paid up or credited as fully paid up.
(iii) No Acquired Company has outside Ireland any branch, agency or place of business, or any permanent establishment (as that expression is defined in the relevant double taxation relief orders current at the date of this Agreement).
(iv) No Acquired Company has, or has had, any associated undertaking within the meaning of the European Communities (Companies: Group Accounts) Regulations, 1992.
(v) No Acquired Company has any liability (actual, contingent or otherwise) in respect of any company or other entity which was formerly a subsidiary of any Acquired Company.
SUBSIDIARIES, ASSOCIATES AND BRANCHES. Save in respect of the Subsidiaries neither the Company nor any other Group Company:
