This Pledge Agreement shall be binding upon the Pledgor and its successors, transferees and assigns and shall inure to the benefit of and be enforceable by the Pledgee and its successors and permitted assigns. Except as provided in the Lessor Pledge Agreement, without the express written consent of the Pledgor, which shall not be unreasonably withheld, the Pledgee shall not have the right to assign this Pledge Agreement to any person or entity which is not the Lessor under the Lease.

Any voluntary assignment by a Party shall not be effective unless approved by the PUD, which approval shall not be unreasonably withheld. A partial assignment is not permitted. After the PUD’s approval of the assignment, the assignee shall sign this Settlement Agreement and become a Party.

Successors, Transferees and Assigns. This Agreement shall apply to and be binding on the Parties and their successors and assigns. Upon completion of a succession, transfer or assignment, the initial Party shall no longer be a Party to this Agreement. No change in ownership of the Project or transfer of the New License by Chelan PUD shall in any way modify or otherwise affect any other Party’s interests, rights, responsibilities or obligations under this Agreement.
Successors, Transferees and Assigns. Any reference in the Finance Documents to the Lender (in any capacity), the Borrower or any other Person shall be construed so as to include their respective permitted successors, transferees and assigns.
