Ownership of the Project. A. At no time during the course of this Agreement shall the Commission assume any ownership rights, obligations, or interests in the Local Project Phase or in any locally funded initiatives associated with the School District Board’s ELPP program.
Ownership of the Project. COOPERATIVE will have sole ownership, possession, and control of the Project, and will have the exclusive right and discretion to maintain and operate such Project. Participation in the Project does not and shall not be construed to convey any right,title or interest in or to any portion of any property (tangible or intangible, real or personal) underlying or comprising any portion of the Project or its associated equipment or improvements, or any equipment of COOPERATIVE.

Ownership of the Project. Until such time as the Purchase Option has expired Seller’s shall not permit Project Owner to sell or dispose of the Project or any portion thereof except for Permitted Dispositions. Following the expiration of the Purchase Option, Project Owner will be permitted to sell the Project (in whole but not in part) to an arms length purchaser who is not an Affiliate of Seller or Xxxxxxx Xxxx Residential. Until such time as the Purchase Option has expired and the Put Option has expired, Seller will not permit any Liens, encumbrances or other title exceptions (other than the Permitted Exceptions and normal utility easements, solely for benefit of the Project, incident to the development and operation of the Project) to encumber the Land or the Project.
Ownership of the Project. Except as provided in Article 13, the Service Provider shall be the legal and beneficial owner of the Project throughout the Term and the System shall remain the property of the Service Provider and shall not attach to or be deemed a part of, or fixture to the Premises.

Assignee hereby represents and warrants to Manager that, as of the effective date hereof (as described in Paragraph 4 below), Assignee has entered into a lease with New Hotel Owner for the Project and that the execution, delivery and performance of this Assignment and Amendment by Assignee have been duly authorized by all necessary corporate action and the Management Agreement and this Assignment and Amendment are the legal, valid and binding obligations of Assignee, enforceable in accordance with the terms thereof and hereof; and that neither the execution of this Assignment and Amendment nor the performance of the obligations contemplated hereby shall violate any Legal Requirement, result in or constitute a breach or default under any indenture, contract or other commitment or restriction to which it is a party or by which it is bound, or require any consent, vote or approval which has not been obtained, or at the appropriate time shall not have been given or obtained.

Ownership of the Project. A. Ownership of the Project during the period of design and construction, through execution by the School District Board and the Commission of a Certificate of Completion of the Project Agreement, shall be shared between the School District Board and Commission according to their respective contributions.
B. Upon completion of the construction of Segment One of the Project, the Commission’s direct interest and participation in Segment One of the Project is concluded. The Commission’s interest is considered transferred to the School District Board. The School District Board shall assume sole responsibility for property ownership and facilities management, including the responsibility for enforcement of warranties and guarantees associated with Segment One of the Project.
C. The School District Board shall not use any of the classroom facilities constructed pursuant to this Agreement for any purpose other than for a public educational purpose.
Ownership of the Project. The rights to any technologies, processes, patentable rights or material that can be copyrighted that is developed in connection with this research project shall belong to Shengqu.
