Common use of Supplier Initiated Changes Clause in Contracts

Supplier Initiated Changes. During the performance of this Purchase Order, Supplier shall not make any changes in the Work performed/ provided, including but not limited to, part design and manufacture to be furnished by Supplier under this Purchase Order, changes to the process, manufacturing location, or use of suppliers and key management/ personnel, without advance notification to and written approval of Envistacom. Any Work that is changed without prior notification to and consent from Envistacom shall be deemed nonconforming under this Purchase Order. Changes shall not be binding upon Envistacom, unless confirmed in writing by the Envistacom POC. The issuance of information, advice, approvals or instructions by Envistacom’s technical personnel or other representative shall be deemed expressions of personal opinion only and shall not affect Envistacom’s and Supplier’s rights and obligations hereunder, unless provided in writing by the designated Envistacom POC.
