Common use of Suppliers and Distributors Clause in Contracts

Suppliers and Distributors. No material supplier, distributor, customer or service provider of the Company or its Subsidiaries has notified the Company or any of its Subsidiaries in writing, and to the Company’s Knowledge, there is no reason to believe, that any such material supplier, distributor, customer or service provider will not continue dealing with the Company or its Subsidiaries on substantially the same terms as presently conducted following closing of the Transaction, subject to changes in pricing and volume in the Ordinary Course.

Suppliers and Distributors. No material supplier, distributor, customer or service provider of the Company Purchaser or its Subsidiaries has notified the Company Purchaser or any of its Subsidiaries in writing, and to the CompanyPurchaser’s Knowledge, there is no reason to believe, that any such material supplier, distributor, customer or service provider will not continue dealing with the Company Purchaser or its Subsidiaries on substantially the same or similar terms as presently conducted following closing of the Transaction, subject to changes in pricing and volume in the Ordinary Course.
