SURVIVAL OF CONTRACT. This Contract shall be binding upon the parties hereto, their successors and assigns.
SURVIVAL OF CONTRACT. The provisions of the Construction Contract which by their nature survive termination of the Construction Contract or Final Completion, including, without limitation, all warranties, indemnities, payment obligations, and City’s right to audit Contractor’s books and records, shall remain in full force and effect after Final Completion or any termination of the Construction Contract.
SURVIVAL OF CONTRACT. Notwithstanding any expiration or termination of this Contract, all payment obligations incurred prior to expiration of termination are due to R13 PC. All applicable sales, leases, supplemental agreements, contracts, software license agreements, warranties and service agreements entered into between a Member and Vendor under the terms and conditions of this agreement shall survive the expiration or termination of this agreement. All Orders, Purchase Orders issued, or contracts executed by R13 PC or a Member and accepted by the Vendor prior to the expiration or termination of this agreement, shall survive expiration or termination of the agreement, subject to previously agreed terms and conditions agreed by the parties or as otherwise specified herein relating to termination of this agreement.
SURVIVAL OF CONTRACT. Subject to the requirements of Clause 20.3, this Contract, as it may be amended from time to time, shall be binding upon, and inure to the benefit of, the Parties' respective successors-in-interest and legal representatives.
SURVIVAL OF CONTRACT. All terms, conditions and warranties not performed at the time of delivery of the deed shall survive such delivery.
SURVIVAL OF CONTRACT. Any condition or stipulation not fulfilled at the time of closing shall survive the closing, execution and delivery of the Warranty Deed until such time as said conditions or stipulations are fulfilled. (Closing Attorney is directed to transfer this paragraph to the closing statement).
SURVIVAL OF CONTRACT. The provisions of the Contract which by their nature survive termination of the Contract or Final Completion, including, without limitation, all warranties, indemnities, payment obligations and SMUD’s right to audit Contractor’s books and records, shall remain in full force and effect after Final Completion or any termination of the Contract.
SURVIVAL OF CONTRACT. This Agreement shall merge into the documents executed at the closing, and any representations and warranties regarding title and right of possession of the Property shall not survive the closing.
SURVIVAL OF CONTRACT. Except as may be expressly modified, all terms and conditions of this Escrow Agreement remain in full force and effect. The establishment of this Escrow Agreement is limited solely by the contingency of release of the PROPOSAL BID DOCUMENTS by the CONTRACTOR to the DEPARTMENT, as established by Article IV, Release From Escrow. Nothing contained herein shall alter the rights of the parties hereto. The covenants herein contained shall, except as otherwise provided, accrue to the benefit of and be binding upon the successors and assigns of the parties hereto.
SURVIVAL OF CONTRACT. All express representations, warranties and covenants contained herein shall survive delivery of the deed except where herein specified to the contrary. All other contractual obligations shall terminate with closing.
