Survival of Sublicensees. Notwithstanding the foregoing, termination of this Celgene Lead Co-Co Agreement shall be construed as a termination of any sublicense of any Sublicensee hereunder, provided however that such Sublicensee shall have the right to request that Jounce grants to such Sublicensee a direct license. Jounce shall not unreasonably withhold its consent to any such request.
Survival of Sublicensees. Juno’s right to grant sublicenses under the licenses granted in Section 9.8 shall survive any termination of this License Agreement. With the exception of the foregoing, termination of this License Agreement shall be construed as a termination of any sublicense granted by either Party to any Sublicensee hereunder, provided however that such Sublicensee shall have the right to request that such Party grants to such Sublicensee a direct license and such Party shall not unreasonably withhold its consent to any such request.
Survival of Sublicensees. Notwithstanding the foregoing, termination of this Agreement shall be construed as a termination of any sublicense of any Sublicensee hereunder, provided however that such Sublicensee shall have the right to request that Carisma grants to such Sublicensee a direct license. Carisma shall not unreasonably withhold, condition or delay its consent to any such request.
Survival of Sublicensees. Notwithstanding the foregoing, no termination of this Agreement shall be construed as a termination of any sublicense of any Sublicensee hereunder, and thereafter each such Sublicensee shall be considered a direct licensee of Forma Inc.; provided that such Sublicensee agrees in writing to assume all applicable obligations of Celgene under this Agreement.
Survival of Sublicensees. Notwithstanding the foregoing, termination of this PD-1 License Agreement shall be construed as a termination of any sublicense of any Sublicensee hereunder, provided however that such Sublicensee shall have the right to request that Jounce grants to such Sublicensee a direct license. Jounce shall not unreasonably withhold its consent to any such request.
Survival of Sublicensees. Notwithstanding the foregoing, termination of this Agreement will be construed as a termination of any sublicenses of BeiGene IP to any Sublicensee hereunder; provided, however, that at the written request of Celgene, BeiGene will grant to such Sublicensee a direct license under the BeiGene IP provided that such Sublicensee is then in good standing under its sublicense agreement and such Sublicensee enters into a written agreement with BeiGene assuming the financial and other obligations of Celgene hereunder that are reasonably applicable to the Sublicensee’s activities.
Survival of Sublicensees. In the event of any termination of this Agreement, any sublicenses granted by the Company shall remain in force and effect and shall be assigned by the Company to the University, provided, that such sublicensee is currently in good standing with regard to its obligations under the sublicense or has cured any default or breach within the period provided in such sublicense, and further provided, that the financial obligations of each such Sublicensee shall be limited to those due the University hereunder for the practice of such a sublicense.
Survival of Sublicensees. Juno’s right to grant sublicenses under the licenses granted in Section 9.8 shall survive any termination of this Juno Lead Co-Co Agreement. With the exception of the foregoing, termination of this Juno Lead Co-Co Agreement shall be construed as a termination of any sublicense granted by either Party to any Sublicensee hereunder, provided however that such Sublicensee shall have the right to request that such Party grants to such Sublicensee a direct license, and such Party [***].
Survival of Sublicensees. Notwithstanding the foregoing, termination of the applicable Project Agreement or this Agreement in its entirety shall be construed as a termination the sublicense of any Sublicensee under such applicable Project Agreement (or all Project Agreements if this Agreement is terminated in its entirety); provided, that such Sublicensee shall have the right to request that Immatics grants to such Sublicensee a direct license. Immatics shall not unreasonably withhold its consent to any such request, provided, further, that the Sublicensee (a) is in good standing and is not in breach of its sublicense agreement upon termination of this Agreement or applicable Project Agreement, and (b) assumes all applicable obligations under this Agreement or applicable Project Agreement. In no case, however, will Immatics be bound by obligations contained in any sublicense agreement that extends beyond the obligations of Immatics set forth in this Agreement or applicable Project Agreement.
Survival of Sublicensees. Notwithstanding the foregoing, no termination of this Agreement shall be construed as a termination of any sublicense of any Sublicensee hereunder and, except in the case of termination of this Agreement by CELGENE pursuant to Section 13.2 or 13.5, thereafter each such Sublicensee shall be considered a direct licensee of SUTRO, provided that (a) CELGENE has first represented and warranted to SUTRO that, to CELGENE’s actual knowledge, as of the effective date of such termination, such Sublicensee is then in full compliance with all terms and conditions of its sublicense, and (b) such Sublicensee agrees in writing to assume all applicable obligations of CELGENE under this Agreement.
