Common use of Suspension of Refinery Operations Clause in Contracts

Suspension of Refinery Operations. (a) In the event that Tesoro decides to permanently or indefinitely suspend refining operations at any of Tesoro’s Refineries for a period that shall continue for at least twelve (12) consecutive Months, Tesoro may provide written notice to TLO of Tesoro’s intent to terminate that part of this Agreement relating to the applicable associated Terminal (the “Suspension Notice”). Such Suspension Notice shall be sent at any time after Tesoro has publicly announced such suspension and, upon the expiration of the twelve (12)-Month period following the date such notice is sent (the “Notice Period”), that part of this Agreement relating to such Terminal shall terminate. If Tesoro publicly announces, more than two Months prior to the expiration of the Notice Period, its intent to resume operations at the applicable Refinery, then the Suspension Notice shall be deemed revoked and the applicable portion of this Agreement shall continue in full force and effect as if such Suspension Notice had never been delivered.

(a) 28.1 In the event that Tesoro WNR decides to permanently or indefinitely suspend suspend, in full or in part, refining operations at any of TesoroWNR’s Refineries for a period that shall continue for at least twelve (12) consecutive Months, Tesoro WNR may provide written notice to TLO WRT of TesoroWNR’s intent to terminate or proportionately reduce, as applicable, that part of this Agreement relating to the applicable associated Terminal affected Terminals or other facilities at the end of such twelve (12)-Month period (the “Suspension Notice”). Such Suspension Notice shall be sent at any time after Tesoro has publicly announced such suspension and, effective upon the expiration of the twelve (12)-Month period following the date such notice is sent (the “Notice Period”). If, that part of this Agreement relating however, WNR provides notice to such Terminal shall terminate. If Tesoro publicly announcesWRT, more than two Months prior to the expiration of the Notice Period, of its intent to resume operations at the applicable RefineryRefinery or portion thereof, then the Suspension Notice shall be deemed revoked and the applicable portion of this Agreement shall continue in full force and effect as if such Suspension Notice had never been delivered.
