Suspension of Access. Ricoh reserves the right to suspend or terminate authorizations, or to suspend or block access to all or any part of the Site or Services as provided in paragraph 10 hereof.
Suspension of Access. In addition to any other suspension or termination rights of CCH pursuant to this Agreement, CCH may suspend or terminate Customer’s access to its Online Account(s) without notice (a) in the event Customer (including any Authorized User, Client or other person or entity acting through or on behalf of Customer) is determined by CCH, in CCH’s sole judgment, to have or attempted to have damaged, harmed or misused CCH’s software, server, network or other systems, or (b) as necessary or appropriate to comply with any law, regulation, court order, or other governmental request or order which requires immediate action or otherwise protect CCH from potential legal liability or harm to its business. CCH will use commercially reasonable efforts to notify Customer of the reason(s) for such suspension or termination action as soon as reasonably practicable unless such action is due to subsection (a) hereof. In the event of a suspension (other than due to subsection (a) hereof), CCH will promptly restore Customer’s access to its Online Account(s) as soon as the event giving rise to the suspension has been resolved as determined in CCH’s discretion. Nothing contained in this Agreement will be construed to limit CCH’s actions or remedies or act as a waiver of CCH’s rights in any way with respect to any of the foregoing activities. CCH will not be responsible for any loss or damages incurred by Customer as a result of any termination or suspension of access as set forth in this Section.

Suspension of Access. The Bank reserves the right to suspend, deny or terminate the Customer’s access to Alternative Networks for objective reasons related to their secure use or if it suspects that they are used without authorization or fraudulently or for reasons related to the certification and verification of the Customer's identity and financial/banking profile, in accordance with the international and European financial sanctions pursuant to the applicable regulatory and legislative framework and the Bank’s internal policy. In such cases the Bank shall inform the Customer of the suspension and the reasons for it, in any way the Bank sees fit, where possible, before the suspension of the access and at the latest immediately thereafter, unless giving such information would compromise objectively justified security reasons or is prohibited by other relevant legislation. As soon as the reasons for the suspension no longer apply, the Bank will lift the suspension.
Suspension of Access. We may suspend access to the System or the Services by you or any member of your Workforce immediately pending your cure of any breach of this Agreement, or in the event we determine in our sole discretion that access to or use of the System by you or the member of your Workforce may jeopardize the System or the confidentiality, privacy, security, integrity or availability of information within the System, or that you or the member of your Workforce has violated or may violate this Agreement or our Policies and Procedures, or has jeopardized or may jeopardize the rights of any third party, or that any person is or may be making unauthorized use of the System with any User ID assigned to you or a member of your Workforce. We may terminate the access of any member of your Authorized Workforce upon termination or change in status of his or employment with you. Our election to suspend the Services shall not waive or affect our rights to terminate this Agreement as permitted under this Agreement.
Suspension of Access. TennCare reserves the right to suspend Xxxxxxx Partner's access in the event of Trading Partner's inappropriate use of access as determined by TennCare, including, but not limited to, in the event fifty percent (50%) of Trading Partner requests received are not matched. TennCare may evaluate such patterns for indications of inappropriate use, including inquiry outside of the context of immediate treatment, payment or healthcare operations, or where the Trading Partner has no reasonable cause to believe that information requested was for individuals eligible for the applicable TennCare program.
Suspension of Access. District agrees that New Tech Network may with reasonably contemporaneous notice (including by telephone or email) to District suspend access to the New Tech Platform (or any part thereof) if New Tech Network reasonably concludes that the New Tech Platform is being used to engage in denial of service attacks, spamming, or illegal activity, or is causing immediate, material and ongoing harm to New Tech Network or others (each, a “Suspension”). In the event of a Suspension, New Tech Network will use commercially reasonable efforts to limit the Suspension to the offending portion of the New Tech Platform and to resolve the issue(s) causing the Suspension. District agrees that New Tech Network shall not be liable to District, the Echo Affiliate School nor to any third party for any Suspension.
Suspension of Access. Notwithstanding anything to the contrary, in the event of a breach or a threatened breach of any term in this Article 4 or breach of the security of the System by Client or the unauthorized disclosure of any information relative to the System by Client, Cardinal Health may revoke or suspend any or all passwords and identification numbers provided to Client hereunder. Upon written request and as mutually agreed upon, Cardinal Health shall provide Client’s data to Client during such period of revocation or suspension within three (3) business days.

WKFS will use commercially reasonable efforts to notify Customer of the reason(s) for such suspension or termination action as soon as reasonably practicable unless such action is due to subsection (a) hereof. In the event of a suspension (other than due to subsection (a) hereof), WKFS will promptly restore Customer’s access to the Application as soon as the event giving rise to the suspension has been resolved as determined in WKFS’s discretion. Nothing contained in this Agreement will be construed to limit WKFS’s actions or remedies or act as a waiver of WKFS’s rights in any way with respect to any of the foregoing activities. WKFS will not be responsible for any loss or damages incurred by Customer as a result of any termination or suspension of access to or use of the Application as set forth in this Agreement.
Suspension of Access. In the event that (i) any fees owed to Distributor by CSR, including but not limited to monthly Fees or Overage Fees, are thirty (30) days or more overdue and CSR has not cured within thirty (30) business days of Distributor’s written notification of failure to pay, or (ii) CSR is in material breach of the Agreement, including any terms of any CSP Specific Addendum, then Distributor may either:
i. Suspend or may request CSP to suspend End User’s access to the Cloud Service(s) associated with such delinquent payment; or
ii. Distributor may choose not submit Purchase Orders to CSP for orders from CSR without penalty to Distributor; or (c) terminate or suspend the Agreement with CSR (collectively "Suspension of Access"). In the event of Suspension of Access, End User and/or CSR may be subject to termination and liable pay any applicable early termination fees ("Early Termination Fees") set forth in any applicable Documentation or set forth in the CSP terms for the Cloud Services. Notwithstanding the foregoing, in the event Distributor elects or requests a Suspension of Access, CSR may be liable for any fees, including but not limited to monthly Fees or Overage Fees, associated with such delinquent payment through the end of the current Subscription Term. CSR acknowledges that a Suspension of Access may result in liability to Distributor and/or CSP and CSR agrees to fully indemnify, defend and hold harmless Distributor, Distributor’s affiliates and CSP from and against all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees), judgments or settlement amounts arising out of or in connection with any Suspension of Access. Notwithstanding anything to the contrary in this Addendum and in addition thereto, in the event of Suspension of Access, Supplier may, in its sole discretion, by notice in writing to CSR, elect to undertake invoicing of CSR’s End-User as an interim arrangement until all Fees are paid and any billing and invoicing issues are resolved to the reasonable satisfaction of the Distributor. In the event of termination under this clause 8(b), CSP or Distributor shall have the right to notify the End Users of such termination of the CSR and provide instructions on how any affected End Users may continue to receive the Cloud Services, including with respect to any Renewal Subscription Term.
