Common use of Suspension, Termination, and Cancellation Clause in Contracts

Suspension, Termination, and Cancellation. We may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase Services, and/or (c) deactivate or cancel your Coinbase Account with immediate effect for any reason, including but not limited to where: (A) we reasonably believe that we need to do so in order to protect our reputation; (B) we are, in our reasonable opinion, required to do so by applicable law, regulation or any court or other authority to which we are subject in any jurisdiction; (C) we reasonably suspect you of acting in breach of this Agreement; (D) we reasonably suspect you to have breached our ‘Behaviour Policy’ or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) we have concerns that a transaction is erroneous or about the security of your Coinbase Account or we suspect that the Coinbase Services are being used in a fraudulent or unauthorised manner; (F) we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) use of your Coinbase Account is subject to any pending litigation, investigation, or government proceeding and / or we perceive a heightened risk of legal or regulatory non-compliance associated with your Coinbase Account activity; and / or (H) you take any action that may circumvent our controls such as opening multiple Coinbase Accounts or abusing promotions which we may offer from time to time. We may also refuse to complete or block, cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase Account or Digital Currency Wallet is declined.

We Ibinex may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase Ibinex Services, ; and/or (cb) deactivate or cancel your Coinbase Ibinex Account with immediate effect for on the occurrence of any reasonone or more of the following: • We are so required by a subpoena, including but not limited to where: (A) we reasonably believe that we need to do so in court order, or order to protect our reputation; (B) we are, in our reasonable opinion, required to do so by applicable law, regulation of a government authority; or any court or other authority to which we are subject in any jurisdiction; (C) we reasonably • We suspect you of acting using your Ibinex Account in breach of this Agreement; (D) we reasonably suspect you to have breached our ‘Behaviour Policy’ connection with a Prohibited Use or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) we have concerns that a transaction is erroneous Business; or about the security • Use of your Coinbase Account or we suspect that the Coinbase Services are being used in a fraudulent or unauthorised manner; (F) we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) use of your Coinbase Ibinex Account is subject to any pending litigation, investigation, or government proceeding and / or and/or we perceive a heightened risk of legal or regulatory non-non- compliance associated with your Coinbase Account activity; and / or (H) you or • Our service partners are unable to support your use; or • You take any action that may circumvent our controls such Ibinex deems as circumventing Ibinex's controls, including, but not limited to, opening multiple Coinbase Ibinex Accounts or abusing promotions which we Ibinex may offer from time to time; or • You breach any one or more of our policies referred to on the Website such as KYC/AML, Privacy Policy, etc.; or • You carry out any unlawful or illegal activity; or • You are in breach of any material provisions of these Terms; or • You are in breach of any money laundering regulations or KYC requirements. We If Ibinex suspends or closes your account for any reason, we will provide you with notice of our actions unless a court order or other legal process prohibits Ibinex from providing you with such notice. You acknowledge that Ibinex's decision to take certain actions, including limiting access to, suspending, or closing your account, may also refuse be based on confidential criteria that are essential to complete Ibinex's risk management and security protocols. You agree that Ibinex is under no obligation to disclose the details of its risk management and security procedures to you. You will be permitted to transfer Digital Currency or blockfunds associated with your Hosted Digital Currency Wallet(s) for ninety (90) days after Account deactivation or cancellation unless such transfer is otherwise prohibited: (i) under the law, including but not limited to applicable sanctions programs; or (ii) by a subpoena or court order. You may close your Ibinex Account at any time and will not be charged for closing your Ibinex Account, however, you will be required to pay any outstanding amounts owed to Ibinex. You authorize us to cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees suspend any pending transactions at the time that we receive notification of the transaction closing. Ibinex will not be liable for any losses suffered by you resulting from any modification of any Ibinex Services or if from any suspension or termination of your credit access to all or debit card a portion of any Ibinex Services (whether pursuant to this Section or for any other valid payment method linked reason). If and when Ibinex Services resume, you acknowledge that token valuations and exchange rates may differ significantly from the valuations and rates prior to your Coinbase Account or Digital Currency Wallet such event. If you are a consumer, then you acknowledge that the right of withdrawal is declinednot applicable to you as the price for the Ibinex Services is dependent upon fluctuations in the financial market which cannot be controlled by Ibinex and which may occur within the withdrawal period.

We Cleartransfer may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase Cleartransfer Services, ; and/or (cb) deactivate or cancel your Coinbase Cleartransfer Account with immediate effect for on the occurrence of any reasonone or more of the following: • We are so required by a subpoena, including but not limited to where: (A) we reasonably believe that we need to do so in court order, or order to protect our reputation; (B) we are, in our reasonable opinion, required to do so by applicable law, regulation of a government authority; or any court or other authority to which we are subject in any jurisdiction; (C) we reasonably • We suspect you of acting using your Cleartransfer Account in breach of this Agreement; (D) we reasonably suspect you to have breached our ‘Behaviour Policy’ connection with a Prohibited Use or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) we have concerns that a transaction is erroneous Business; or about the security • Use of your Coinbase Account or we suspect that the Coinbase Services are being used in a fraudulent or unauthorised manner; (F) we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) use of your Coinbase Cleartransfer Account is subject to any pending litigation, investigation, or government proceeding and / or and/or we perceive a heightened risk of legal or regulatory non-compliance noncompliance associated with your Coinbase Account activity; and / or (H) you or • Our service partners are unable to support your use; or • You take any action that may circumvent our controls such Cleartransfer deems as circumventing Cleartransfer's controls, including, but not limited to, opening multiple Coinbase Cleartransfer Accounts or abusing promotions which we Cleartransfer may offer from time to time; or • You breach any one or more of our policies referred to on the Website such as KYC/AML, Privacy Policy, etc.; or • You carry out any unlawful or illegal activity; or • You are in breach of any material provisions of these Terms; or • You are in breach of any money laundering regulations or KYC requirements. Cleartransfer will not be liable for any losses suffered by you resulting from any modification of any Cleartransfer Services or if from any suspension or termination of your credit access to all or debit card a portion of any Cleartransfer Services (whether pursuant to this Section or for any other valid payment method linked reason). We may also refuse to complete or block, cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase Account or Digital Currency Wallet is declined.

We may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase HumanBace Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase HumanBace Services, and/or (c) deactivate or cancel your Coinbase HumanBace Account with immediate effect for any reason, including but not limited to where: (A) we reasonably believe that we need to do so in order to protect our reputation; (B) we are, in our reasonable opinion, required to do so by applicable law, regulation or any court or other authority to which we are subject in any jurisdiction; (C) we reasonably suspect you of acting in breach of this Agreement; (D) we reasonably suspect you to have breached our ‘Behaviour Policy’ or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) we have concerns that a transaction is erroneous or about the security of your Coinbase HumanBace Account or we suspect that the Coinbase HumanBace Services are being used in a fraudulent or unauthorised manner; (F) we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) use of your Coinbase HumanBace Account is subject to any pending litigation, investigation, or government proceeding and / or we perceive a heightened risk of legal or regulatory non-compliance associated with your Coinbase HumanBace Account activity; and / or (H) you take any action that may circumvent our controls such as opening multiple Coinbase HumanBace Accounts or abusing promotions which we may offer from time to time. We may also refuse to complete or block, cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase HumanBace Account or Digital Currency Wallet is declined.

Suspension, Termination, and Cancellation. 10.1 Suspension, Termination and Cancellation. We may: , and you authorize us to: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (authorized, even after funds have been debited from your Coinbase Aquarius Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase Services, and/or (c) deactivate or cancel your Coinbase Aquarius Account and/or Aquarius Membership, and/or (d) terminate this Agreement, with immediate effect for any reason, including but not limited to wherethe following events: (Ai) we are of the opinion that you are not, or are no longer, eligible to use the relevant Aquarius Service in accordance with Section 2, (ii) you have failed to pay the Membership Fee in accordance with Section 3.3.2, (iii) you fail to comply with the Deposit Requirements as set out in Section 7.1.4, (iv) we reasonably believe that we need to do so in order to protect our reputation;, (Bv) we are, in our reasonable opinion, required to do so by applicable law, regulation or any court or other authority to which we or the service providers engaged by us for the rendering of any part of the Aquarius Services is/are subject in any jurisdiction;, (Cvi) you have not (or we reasonably suspect that you of acting in breach have not) complied with any provision of this Agreement;, (Dvii) you have (or we reasonably suspect that you to have have) breached our ‘Behaviour Policy’ or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1);, (Eviii) we believe in our sole opinion that a transaction is an Erroneous Transaction (as set out in Section 10.2 below), (ix) we have concerns that a transaction is erroneous or about the security of your Coinbase Aquarius Account or we suspect that any of the Coinbase Aquarius Services are being used in a fraudulent fraudulent, illegal or unauthorised manner;unauthorized manner by you, (Fx) we suspect that you are involved directly or indirectly in money laundering, terrorist financing, fraud, or any other financial crime;, (Gxi) the use of your Coinbase Aquarius Account is subject to any pending litigation, investigation, or government proceeding and / or proceeding, (xii) we perceive a heightened risk of legal or regulatory non-compliance associated with your Coinbase Aquarius Account activity; and / or, (Hxiii) you take any action that may circumvent our controls such as opening multiple Coinbase Aquarius Accounts or abusing abuse promotions which we may offer from time to time. We may also refuse to complete or block, cancel or reverse a transaction you have authorised where there and/or (xiv) it is insufficient E-Money in your E-Money Wallet warranted by confidential criteria that are essential for the purposes of our risk management and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase Account or Digital Currency Wallet is declinedsecurity protocols.

We CoinList may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase Services, and/or (cb) deactivate or cancel your Coinbase Account with immediate effect for any reason, including but not limited to where: (A) we reasonably believe that we need to do so in order to protect our reputation; (B) we are, in our reasonable opinion, required to do so by applicable law, regulation or any court or other authority to which account if: we are subject in any jurisdiction; (C) so required by a facially valid subpoena, court order, or binding order of a government authority; we reasonably suspect you of acting using your CoinList Account in breach of this Agreement; (D) we reasonably suspect you to have breached our ‘Behaviour Policy’ connection with a Prohibited Use or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) we have concerns that a transaction is erroneous or about the security of Business; your Coinbase Account or we suspect that the Coinbase Services are being used in a fraudulent or unauthorised manner; (F) we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) use of your Coinbase CoinList Account or our Services is subject to any pending litigation, investigation, or government proceeding and / or and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your Coinbase Account activity; and / or (H) our service partners are unable to support your use; or you take any action that may circumvent CoinList deems as circumventing our controls such as controls, including, but not limited to, opening multiple Coinbase CoinList Accounts or abusing promotions which we CoinList may offer from time to time. We are not responsible for any losses, whether direct or indirect, that you may also refuse incur as a result of our compliance with applicable law and regulations, the guidance or direction of any regulatory authority or government agency, or any writ of attachment, lien, levy, subpoena, warrant, or other legal order. If CoinList suspends or closes your account, or terminates your use of the Services for any reason, we will provide you with notice of our actions unless a court order or other legal or regulatory process prohibits CoinList from providing you with such notice. You acknowledge that CoinList’s decision to complete take certain actions, including limiting access to, suspending, or blockclosing your Account, may be based on confidential criteria that are essential to CoinList’s risk management and security protocols. You agree that CoinList is under no obligation to disclose the details of its risk management and security procedures to you. You will be permitted to transfer Digital Assets or funds associated with your Digital Asset wallet(s) and/or your USD Wallet(s) for ninety (90) days after Account deactivation or cancellation unless such transfer is otherwise prohibited (i) under the law, including but not limited to applicable sanctions programs, or (ii) by a facially valid subpoena or court order or (iii) due to a violation of the terms of this Agreement including but not limited to a Prohibited Use violation, unless by operation of law or with the express permission of CoinList. You may cancel your CoinList Account at any time by withdrawing all balances from your account and contacting us. You will not be charged for canceling your account, but you may be required to pay withdrawal fees and any outstanding amounts owed to us or our Custodian Partners. You authorize us to cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees suspend any pending transactions at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase Account or Digital Currency Wallet is declinedcancellation.

We may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase XxxxXxxxx.XXX Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase XxxxXxxxx.XXX Services, and/or (c) deactivate or cancel your Coinbase XxxxXxxxx.XXX Account with immediate effect for any reason, including but not limited to where: (A) : we reasonably believe that we need to do so in order to protect our reputation; (B) ; we are, in our reasonable opinion, required to do so by applicable law, regulation or any court or other authority to which we are subject in any jurisdiction; (C) ; we reasonably suspect you of acting in breach of this Agreement; (D) ; we reasonably suspect you to have breached our ‘Behaviour Policy’ or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) ; we have concerns that a transaction is erroneous or about the security of your Coinbase XxxxXxxxx.XXX Account or we suspect that the Coinbase XxxxXxxxx.XXX Services are being used in a fraudulent or unauthorised manner; (F) ; we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) ; use of your Coinbase XxxxXxxxx.XXX Account is subject to any pending litigation, investigation, or government proceeding and / or we perceive a heightened risk of legal or regulatory non-compliance associated with your Coinbase XxxxXxxxx.XXX Account activity; and / or (H) or you take any action that may circumvent our controls such as opening multiple Coinbase XxxxXxxxx.XXX Accounts or abusing promotions which we may offer from time to time. We may also refuse to complete or block, cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase XxxxXxxxx.XXX Account or Digital Currency Wallet is declined.

Suspension, Termination, and Cancellation. 8.1 We may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase RioDeFi Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase Servicesservices, and/or (c) deactivate or cancel your Coinbase RioDeFi Account with immediate effect for any reason, including but not limited to where: (A) a. we reasonably believe that we need to do so in order to protect our reputation; (B) b. we are, in our reasonable opinion, required to do so by applicable law, regulation or any court or other authority to which we are subject in any jurisdiction; (C) c. we reasonably suspect you of acting in breach of this Agreement; (D) we reasonably suspect you to have breached our ‘Behaviour Policy’ or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) d. we have concerns that a transaction is erroneous or about the security of your Coinbase RioDeFi Account or we suspect that the Coinbase Services services are being used in a fraudulent or unauthorised manner; (F) e. we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) f. use of your Coinbase RioDeFi Account is subject to any pending litigation, investigation, or government proceeding and / or we perceive a heightened risk of legal or regulatory non-non- compliance associated with your Coinbase RioDeFi Account activity; and / or (H) or g. you take any action that may circumvent our controls such as opening multiple Coinbase RioDeFi Accounts or abusing promotions which we may offer from time to time. . 8.2 We may also refuse to complete or block, cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase RioDeFi Account or Digital Currency Wallet is declined. 8.3 If we refuse to complete a transaction and / or suspend, restrict or close your RioDeFi Account, and / or terminate your use of our services, we will (unless it would be unlawful for us to do so) provide you with notice of our actions and the reasons for refusal, suspension or closure, and where appropriate, with the procedure for correcting any factual errors that led to the refusal, suspension or closure. In the event that we refuse to complete a transaction and / or suspend your RioDeFi Account we will lift the suspension or complete the transaction as soon as reasonably practicable once the reasons for refusal and / or suspension no longer exist. However, we are under no obligation to allow you to reinstate a transaction at the same price or on the same terms as the suspended, reversed or cancelled transaction. 8.4 We may suspend, restrict, or terminate your access to any or all of the services and/or deactivate or cancel your RioDeFi Account, without reason by giving you one months’ notice. Such provision of notice is at our absolute discretion. You acknowledge that our decision to take certain actions, including limiting access to, suspending, or closing your RioDeFi Account, may be based on confidential criteria that are essential for the purposes of our risk management and security protocols. You agree that we are under no obligation to disclose the details of its risk management and security procedures to you. 8.5 On termination of this Agreement for any reason, unless prohibited by applicable law or by any court or other order to which RioDeFi is subject in any jurisdiction, you are permitted to access your RioDeFi Account for: a. thirty (30) days thereafter for the purposes of transferring Digital Currency and/or your Digital Currency Wallet(s); and/or b. at any point in the one-year period commencing with the date of the termination of the Agreement for the purposes of transferring E-Money. You are not permitted to use the services or your RioDeFi Account for any other purposes during these periods and we may, at our discretion, limit the functionality of the Sites for you accordingly.

We may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase Services, and/or (c) deactivate or cancel your Coinbase Account with immediate effect for any reasoncause, including but not limited to where: (A) we reasonably believe that we need to do so in order to protect our reputation, if this reputation would be compromised by you holding a Coinbase Account, or by your activities in your Coinbase Account; (B) we are, in our reasonable opinion, are required to do so by applicable law, regulation or any court or other authority to which we are subject in any jurisdiction; (C) we reasonably suspect you of acting act in breach of this Agreement; (D) we reasonably suspect you to have breached our ‘Behaviour Policy’ or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) we have concerns that a transaction is erroneous or about the security of your Coinbase Account or we suspect that the Coinbase Services are being used in a fraudulent or unauthorised manner; (F) we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) use of your Coinbase Account is subject to any pending litigation, investigation, or government proceeding and / or we perceive a heightened risk of legal or regulatory non-compliance associated with your Coinbase Account activity; and / or (H) you take any action that may circumvent our controls such as opening multiple Coinbase Accounts or abusing promotions which we may offer from time to time. We may also refuse to complete or block, cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase Account or Digital Currency Wallet is declined.

Suspension, Termination, and Cancellation. We DAST may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase DAST Services, ; and/or (cb) deactivate or cancel your Coinbase DAST Account with immediate effect for on the occurrence of any reasonone or more of the following: • We are so required by a subpoena, including but not limited to where: (A) we reasonably believe that we need to do so in court order, or order to protect our reputation; (B) we are, in our reasonable opinion, required to do so by applicable law, regulation of a government authority; or any court or other authority to which we are subject in any jurisdiction; (C) we reasonably • We suspect you of acting using your DAST Account in breach of this Agreement; (D) we reasonably suspect you to have breached our ‘Behaviour Policy’ connection with a Prohibited Use or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) we have concerns that a transaction is erroneous Business; or about the security • Use of your Coinbase Account or we suspect that the Coinbase Services are being used in a fraudulent or unauthorised manner; (F) we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) use of your Coinbase DAST Account is subject to any pending litigation, investigation, or government proceeding and / or and/or we perceive a heightened risk of legal or regulatory non-non- compliance associated with your Coinbase Account activity; and / or (H) you or • Our service partners are unable to support your use; or • You take any action that may circumvent our controls such DAST deems as circumventing DAST's controls, including, but not limited to, opening multiple Coinbase DAST Accounts or abusing promotions which we DAST may offer from time to time; or • You breach any one or more of our policies referred to on the Website such as KYC/AML, Privacy Policy, etc.; or • You carry out any unlawful or illegal activity; or • You are in breach of any material provisions of these Terms; or • You are in breach of any money laundering regulations or KYC requirements. We If DAST suspends or closes your account for any reason, we will provide you with notice of our actions unless a court order or other legal process prohibits DAST from providing you with such notice. You acknowledge that DAST's decision to take certain actions, including limiting access to, suspending, or closing your account, may also refuse be based on confidential criteria that are essential to complete or block, cancel or reverse a transaction you have authorised where there DAST's risk management and security protocols. You agree that DAST is insufficient E-Money in your E-Money Wallet under no obligation to disclose the details of its risk management and / or insufficient security procedures to you. You will be permitted to transfer Digital Currency in or funds associated with your Hosted Digital Currency Wallet Wallet(s) for ninety (90) days after Account deactivation or cancellation unless such transfer is otherwise prohibited: (i) under the law, including but not limited to cover the transaction and (where applicable) associated fees at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase Account or Digital Currency Wallet is declined.applicable sanctions programs; or

Suspension, Termination, and Cancellation. We may: (a) refuse to complete, or place on hold, block, cancel cancel, correct, clawback or reverse a transaction you have authorised (even after funds have been debited from your Coinbase Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase Services, and/or (c) deactivate or cancel your Coinbase Account with immediate effect for any reasonin our sole discretion, including but not limited to where: (A) we reasonably believe that we need to do so in order to protect our reputation; (B) we areeven after funds have been debited from your account(s), in our reasonable opinionresponse to a subpoena, required to do so by applicable lawcourt order, regulation or any court or other authority to which we are subject in any jurisdiction; (C) we reasonably suspect you of acting in breach of this Agreement; (D) we reasonably suspect you to have breached our ‘Behaviour Policy’ government order; or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) we have concerns that a transaction is erroneous or about the security of your Coinbase Account or if we suspect that the Coinbase Services are being used in a fraudulent or unauthorised manner; (F) we suspect transaction may: involve money laundering, terrorist financing, fraud, or any other type of financial crime; (G) use of your ; be erroneous; or relate to a Prohibited Use or a Prohibited Business as set forth in the Prohibited Use Policy. In such instances, Coinbase Account is subject will reverse the transaction and we are under no obligation to any pending litigation, investigation, reinstate a purchase or government proceeding and / sale order at the same price or we perceive a heightened risk of legal or regulatory non-compliance associated with your Coinbase Account activity; and / or (H) you take any action that may circumvent our controls such on the same terms as opening multiple Coinbase Accounts or abusing promotions which we may offer from time to timethe cancelled transaction. We may also refuse to complete or block, cancel or reverse a transaction you have authorised where there is insufficient E-Money fiat in your E-Money Fiat Wallet and / or insufficient Digital Currency Assets in your Digital Currency Asset Wallet to cover the transaction and (where applicable) associated fees at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase Account or Digital Currency Asset Wallet is declined. Coinbase may suspend, restrict, or terminate your access to any or all of the Coinbase Services, and/or deactivate or cancel your Coinbase Account(s), with immediate effect for any reason at its sole discretion and is under no obligation to disclose the details of its decision to take such action with you. You acknowledge that Coinbase's decision to take certain actions, including limiting access to, suspending, or closing your account for any reason in our sole discretion, may be based on confidential criteria that are essential to Coinbase's risk management and security protocols. You agree that Coinbase is under no obligation to disclose the details of its risk management and security procedures to you.

Suspension, Termination, and Cancellation. We CoinList may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase Services, and/or (cb) deactivate or cancel your Coinbase Account with immediate effect for any reason, including but not limited to where: (A) we reasonably believe that we need to do so in order to protect our reputation; (B) we are, in our reasonable opinion, required to do so by applicable law, regulation or any court or other authority to which account if: we are subject in any jurisdiction; (C) so required by a facially valid subpoena, court order, or binding order of a government authority; we reasonably suspect you of acting using your CoinList Account in breach of this Agreement; (D) we reasonably suspect you to have breached our ‘Behaviour Policy’ connection with a Prohibited Use or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) we have concerns that a transaction is erroneous or about the security of Business; your Coinbase Account or we suspect that the Coinbase Services are being used in a fraudulent or unauthorised manner; (F) we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) use of your Coinbase CoinList Account or our Services is subject to any pending litigation, investigation, or government proceeding and / or and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your Coinbase Account activity; and / or (H) our service partners are unable to support your use; or you take any action that may circumvent CoinList deems as circumventing our controls such as controls, including, but not limited to, opening multiple Coinbase CoinList Accounts or abusing promotions which we CoinList may offer from time to time. We are not responsible for any losses, whether direct or indirect, that you may also refuse incur as a result of our compliance with applicable law and regulations, the guidance or direction of any regulatory authority or government agency, or any writ of attachment, lien, levy, subpoena, warrant, or other legal order. If CoinList suspends or closes your account, or terminates your use of the Services for any reason, we will provide you with notice of our actions unless a court order or other legal or regulatory process prohibits CoinList from providing you with such notice. You acknowledge that CoinList’s decision to complete take certain actions, including limiting access to, suspending, or blockclosing your Account, may be based on confidential criteria that are essential to CoinList’s risk management and security protocols. You agree that CoinList is under no obligation to disclose the details of its risk management and security procedures to you. You will be permitted to transfer Digital Assets or funds associated with your Digital Asset wallet(s) and/or your USD Wallet(s) for ninety (90) days after Account deactivation or cancellation unless such transfer is otherwise prohibited (i) under the law, including but not limited to applicable sanctions programs, or (ii) by a facially valid subpoena or court order or (iii) due to a violation of the terms of this agreement including but not limited to a Prohibited Use violation, unless by operation of law or with the express permission of CoinList Markets. You may cancel your CoinList Account at any time by withdrawing all balances from your account and contacting us. You will not be charged for canceling your account, but you may be required to pay withdrawal fees and any outstanding amounts owed to us or our custodian partners. You authorize us to cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees suspend any pending transactions at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase Account or Digital Currency Wallet is declinedcancellation.

Suspension, Termination, and Cancellation. 14.1. We maymay from time to time in our sole and absolute discretion: (a) refuse to complete, complete or place on hold, block, cancel or reverse a transaction any Transaction you have authorised (even after funds have been debited from your Coinbase Account)or instructed, (b) suspendterminate, restrict, suspend or terminate restrict your access to any or all of the Coinbase Services, (c) terminate, suspend or restrict your access to any or all of your Account(s), and/or (cd) deactivate refuse to transmit information or cancel your Coinbase Account Instructions to third parties (including but not limited to third-party Linked Wallet operators), in each case with immediate effect for any reasonreason or no reason whatsoever, including but not limited to including, without limitation, where: (Aa) we reasonably believe that we need to do so in order to protect our reputation; (B) we are, in our reasonable opinion, are required to do so by any applicable lawlaw or regulation, regulation or any court or other authority to which we are subject in any jurisdiction; (Cb) we reasonably have determined or suspect that you of acting have breached any terms and conditions in breach of this AgreementUser Agreement and/or the Privacy Policy; (D) we reasonably suspect you to have breached our ‘Behaviour Policy’ or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (Ec) we have concerns determined or suspect that a transaction any Transaction is erroneous unauthorised, erroneous, fraudulent or about the security of your Coinbase Account unlawful or we have determined or suspect that your Account(s) or the Coinbase Services are being used in a fraudulent fraudulent, unauthorised or unauthorised unlawful manner; (Fd) we have determined or suspect there is any occurrence of money laundering, terrorist financing, fraud, or any other financial crime; (Ge) use of your Coinbase Account is subject to any pending or ongoing litigation, investigation, or government proceeding and / judicial, governmental or regulatory proceedings and/or we perceive a heightened risk of legal or regulatory non-non- compliance associated with your Coinbase Account activity; and / or; (Hf) you take have taken any action that may circumvent our controls such as opening multiple Coinbase Accounts without our written consent or abusing promotions which we may offer from time to time. We may also refuse to complete or block, cancel or reverse a transaction ; or (g) you have authorised where there is insufficient E-Money in not complied with the terms under this Agreement. 14.2. You hereby acknowledge and agree that our decision to take certain actions, including, without limitations, to terminate, suspend or restrict your E-Money Wallet access to your Account(s) or the Services, may be based on confidential criteria that are essential to our risk management and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees at the time security protocols. You agree that we receive notification are under no obligation to disclose the details of our risk management and security procedures to you. 14.3. Under no circumstances shall any of the transaction Indemnified Persons be responsible or if your credit liable for any direct or debit card indirect losses (including loss of profits, business or opportunities), damages or costs suffered by you or any other valid payment method linked person or entity, due to your Coinbase Account any of the Indemnified Persons' action or Digital Currency Wallet is declinedinaction in accordance with the terms of this Clause.

We may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase MNOCOINS Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase MNOCOINS Services, and/or (c) deactivate or cancel your Coinbase MNOCOINS Account with immediate effect for any reason, including but not limited to where: (A) 1. we reasonably believe that we need to do so in order to protect our reputationourreputation; (B) 2. we are, in our reasonable opinion, required to do so by applicable law, regulation or any court or other authority to which we are subject in any jurisdiction; (C) 3. we reasonably suspect you of acting in breach of this Agreement; (D) 4. we reasonably suspect you to have breached our ‘Behaviour Policy’ or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ xxx.xxxxxxxx.xxx (as set out in Appendix 1); (E) 5. we have concerns that a transaction is erroneous or about the security of your Coinbase MNOCOINS Account or we suspect that the Coinbase MNOCOINS Services are being used in a fraudulent or unauthorised manner; (F) 6. we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) 7. use of your Coinbase MNOCOINS Account is subject to any pending litigation, investigation, or government proceeding and / or we perceive a heightened risk of legal or regulatory non-compliance associated with your Coinbase MNOCOINS Account activity; and / or (H) or 8. you take any action that may circumvent our controls such as opening multiple Coinbase MNOCOINS Accounts or abusing promotions which we may offer from time to time. We may also refuse to complete or block, cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase MNOCOINS Account or Digital Currency Wallet is declined.

Suspension, Termination, and Cancellation. We XSHOP may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase XSHOP Services, ; and/or (cb) deactivate or cancel your Coinbase XSHOP Account with immediate effect for on the occurrence of any reasonone or more of the following: · We are so required by a subpoena, including but not limited to where: (A) we reasonably believe that we need to do so in court order, or order to protect our reputation; (B) we are, in our reasonable opinion, required to do so by applicable law, regulation of a government authority; or any court or other authority to which we are subject in any jurisdiction; (C) we reasonably · We suspect you of acting using your XSHOP Account in breach of this Agreement; (D) we reasonably suspect you to have breached our ‘Behaviour Policy’ connection with a Prohibited Use or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) we have concerns that a transaction is erroneous Business; or about the security · Use of your Coinbase Account or we suspect that the Coinbase Services are being used in a fraudulent or unauthorised manner; (F) we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) use of your Coinbase XSHOP Account is subject to any pending litigation, investigation, or government proceeding and / or and/or we perceive a heightened risk of legal or regulatory non-compliance noncompliance associated with your Coinbase Account activity; and / or (H) you or · Our service partners are unable to support your use; or · You take any action that may circumvent our controls such XSHOP deems as circumventing XSHOP 's controls, including, but not limited to, opening multiple Coinbase XSHOP Accounts or abusing promotions which we XSHOP may offer from time to time; or · You breach any one or more of our policies referred to on the Website such as KYC/AML, Privacy Policy, etc.; or · You carry out any unlawful or illegal activity; or · You are in breach of any material provisions of these Terms; or · You are in breach of any money laundering regulations or KYC requirements. We If XSHOP suspends or closes your account for any reason, we will provide you with notice of our actions unless a court order or other legal process prohibits XSHOP from providing you with such notice. You acknowledge that XXXXX 's decision to take certain actions, including limiting access to, suspending, or closing your account, may also refuse be based on confidential criteria that are essential to complete XSHOP 's risk management and security protocols. You agree that XSHOP is under no obligation to disclose the details of its risk management and security procedures to you. (i) under the law, including but not limited to applicable sanctions programs; or block(ii) by a subpoena or court order. You may close your XSHOP Account at any time and will not be charged for closing your XSHOP Account, however, you will be required to pay any outstanding amounts owed to XSHOP . You authorize us to cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees suspend any pending transactions at the time that we receive notification of the transaction closing. XSHOP will not be liable for any losses suffered by you resulting from any modification of any XSHOP Services or if from any suspension or termination of your credit access to all or debit card a portion of any XSHOP Services (whether pursuant to this Section or for any other valid payment method linked reason). If and when XSHOP Services resume, you acknowledge that token valuations and exchange rates may differ significantly from the valuations and rates prior to your Coinbase Account or Digital Currency Wallet such event. If you are a consumer, then you acknowledge that the right of withdrawal is declinednot applicable to you as the price for the XSHOP Services is dependent upon fluctuations in the financial market which cannot be controlled by XSHOP and which may occur within the withdrawal period.

Suspension, Termination, and Cancellation. 8.1 We may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase LEPRICON Account), , (b) suspend, restrict, or terminate your access to any or all of the Coinbase Servicesservices, and/or (c) deactivate or cancel your Coinbase LEPRICON Account with immediate effect for any reason, including but not limited to where: (A) : a. we reasonably believe that we need to do so in order to protect our reputation; (B) ; b. we are, in our reasonable opinion, required to do so by applicable law, regulation or any court or other authority to which we are subject in any jurisdiction; (C) ; c. we reasonably suspect you of acting in breach of this Agreement; (D) we reasonably suspect you to have breached our ‘Behaviour Policy’ or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) ; d. we have concerns that a transaction is erroneous or about the security of your Coinbase LEPRICON Account or we suspect that the Coinbase Services services are being used in a fraudulent or unauthorised manner; (F) ; e. we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) ; f. use of your Coinbase LEPRICON Account is subject to any pending litigation, investigation, or government proceeding and / or we perceive a heightened risk of legal or regulatory non-non- compliance associated with your Coinbase LEPRICON Account activity; and / or (H) or g. you take any action that may circumvent our controls such as opening multiple Coinbase LEPRICON Accounts or abusing promotions which we may offer from time to time. . 8.2 We may also refuse to complete or block, cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase LEPRICON Account or Digital Currency Wallet is declined. 8.3 If we refuse to complete a transaction and / or suspend, restrict or close your LEPRICON Account, and / or terminate your use of our services, we will (unless it would be unlawful for us to do so) provide you with notice of our actions and the reasons for refusal, suspension or closure, and where appropriate, with the procedure for correcting any factual errors that led to the refusal, suspension or closure. In the event that we refuse to complete a transaction and / or suspend your LEPRICON Account we will lift the suspension or complete the transaction as soon as reasonably practicable once the reasons for refusal and / or suspension no longer exist. However, we are under no obligation to allow you to reinstate a transaction at the same price or on the same terms as the suspended, reversed or cancelled transaction. 8.4 We may suspend, restrict, or terminate your access to any or all of the services and/or deactivate or cancel your LEPRICON Account, without reason by giving you one months’ notice. Such provision of notice is at our absolute discretion. You acknowledge that our decision to take certain actions, including limiting access to, suspending, or closing your LEPRICON Account, may be based on confidential criteria that are essential for the purposes of our risk management and security protocols. You agree that we are under no obligation to disclose the details of its risk management and security procedures to you. 8.5 On termination of this Agreement for any reason, unless prohibited by applicable law or by any court or other order to which LEPRICON is subject in any jurisdiction, you are permitted to access your LEPRICON Account for: a. thirty (30) days thereafter for the purposes of transferring Digital Currency and/or your Digital Currency Wallet(s); and/or b. at any point in the one-year period commencing with the date of the termination of the Agreement for the purposes of transferring E-Money. You are not permitted to use the services or your LEPRICON Account for any other purposes during these periods and we may, at our discretion, limit the functionality of the Sites for you accordingly.

We may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase Services, and/or (c) deactivate or cancel your Coinbase Account with immediate effect for any reason, including but not limited to where: (A) 1. we reasonably believe that we need to do so in order to protect our reputation; (B) 2. we are, in our reasonable opinion, required to do so by applicable law, regulation or any court or other authority to which we are subject in any jurisdiction; (C) 3. we reasonably suspect you of acting in breach of this Agreement; (D) 4. we reasonably suspect you to have breached our ‘Behaviour Policy’ or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) 5. we have concerns that a transaction is erroneous or about the security of your Coinbase Account or we suspect that the Coinbase Services are being used in a fraudulent or unauthorised manner; (F) 6. we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) 7. use of your Coinbase Account is subject to any pending litigation, investigation, or government proceeding and / or we perceive a heightened risk of legal or regulatory non-compliance associated with your Coinbase Account activity; and / or (H) or 8. you take any action that may circumvent our controls such as opening multiple Coinbase Accounts or abusing promotions which we may offer from time to time. We may also refuse to complete or block, cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase Account or Digital Currency Wallet is declined.

Suspension, Termination, and Cancellation. We Cleartransfer may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase Cleartransfer Services, ; and/or (cb) deactivate or cancel your Coinbase Cleartransfer Account with immediate effect for on the occurrence of any reasonone or more of the following: • We are so required by a subpoena, including but not limited to where: (A) we reasonably believe that we need to do so in court order, or order to protect our reputation; (B) we are, in our reasonable opinion, required to do so by applicable law, regulation of a government authority; or any court or other authority to which we are subject in any jurisdiction; (C) we reasonably • We suspect you of acting using your Cleartransfer Account in breach of this Agreement; (D) we reasonably suspect you to have breached our ‘Behaviour Policy’ connection with a Prohibited Use or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1); (E) we have concerns that a transaction is erroneous Business; or about the security • Use of your Coinbase Account or we suspect that the Coinbase Services are being used in a fraudulent or unauthorised manner; (F) we suspect money laundering, terrorist financing, fraud, or any other financial crime; (G) use of your Coinbase Cleartransfer Account is subject to any pending litigation, investigation, or government proceeding and / or and/or we perceive a heightened risk of legal or regulatory non-non- compliance associated with your Coinbase Account activity; and / or (H) you or • Our service partners are unable to support your use; or • You take any action that may circumvent our controls such Cleartransfer deems as circumventing Cleartransfer's controls, including, but not limited to, opening multiple Coinbase Cleartransfer Accounts or abusing promotions which we Cleartransfer may offer from time to time; or • You breach any one or more of our policies referred to on the Website such as KYC/AML, Privacy Policy, etc.; or • You carry out any unlawful or illegal activity; or • You are in breach of any material provisions of these Terms; or • You are in breach of any money laundering regulations or KYC requirements. We If Cleartransfer suspends or closes your account for any reason, we will provide you with notice of our actions unless a court order or other legal process prohibits Cleartransfer from providing you with such notice. You acknowledge that Cleartransfer's decision to take certain actions, including limiting access to, suspending, or closing your account, may also refuse be based on confidential criteria that are essential to complete Cleartransfer's risk management and security protocols. You agree that Cleartransfer is under no obligation to disclose the details of its risk management and security procedures to you. You will be permitted to transfer Digital Currency or blockfunds associated with your Hosted Digital Currency Wallet(s) for ninety (90) days after Account deactivation or cancellation unless such transfer is otherwise prohibited: (i) under the law, including but not limited to applicable sanctions programs; or (ii) by a subpoena or court order. You may close your Cleartransfer Account at any time and will not be charged for closing your Cleartransfer Account, however, you will be required to pay any outstanding amounts owed to Cleartransfer. You authorize us to cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees suspend any pending transactions at the time that we receive notification of the transaction closing. Cleartransfer will not be liable for any losses suffered by you resulting from any modification of any Cleartransfer Services or if from any suspension or termination of your credit access to all or debit card a portion of any Cleartransfer Services (whether pursuant to this Section or for any other valid payment method linked reason). If and when Cleartransfer Services resume, you acknowledge that token valuations and exchange rates may differ significantly from the valuations and rates prior to your Coinbase Account or Digital Currency Wallet such event. If you are a consumer, then you acknowledge that the right of withdrawal is declinednot applicable to you as the price for the Cleartransfer Services is dependent upon fluctuations in the financial market which cannot be controlled by Cleartransfer and which may occur within the withdrawal period.
