Suspension, Termination, and Cancellation. We may: (a) refuse to complete, or place on hold, block, cancel or reverse a transaction you have authorised (even after funds have been debited from your Coinbase Account), (b) suspend, restrict, or terminate your access to any or all of the Coinbase Services, and/or (c) deactivate or cancel your Coinbase Account with immediate effect for any reason, including but not limited to where:
(A) we reasonably believe that we need to do so in order to protect our reputation;
(B) we are, in our reasonable opinion, required to do so by applicable law, regulation or any court or other authority to which we are subject in any jurisdiction;
(C) we reasonably suspect you of acting in breach of this Agreement;
(D) we reasonably suspect you to have breached our ‘Behaviour Policy’ or our ‘Policy on Prohibited Use, Prohibited Businesses and Conditional Use’ (as set out in Appendix 1);
(E) we have concerns that a transaction is erroneous or about the security of your Coinbase Account or we suspect that the Coinbase Services are being used in a fraudulent or unauthorised manner;
(F) we suspect money laundering, terrorist financing, fraud, or any other financial crime;
(G) use of your Coinbase Account is subject to any pending litigation, investigation, or government proceeding and / or we perceive a heightened risk of legal or regulatory non-compliance associated with your Coinbase Account activity; and / or
(H) you take any action that may circumvent our controls such as opening multiple Coinbase Accounts or abusing promotions which we may offer from time to time. We may also refuse to complete or block, cancel or reverse a transaction you have authorised where there is insufficient E-Money in your E-Money Wallet and / or insufficient Digital Currency in your Digital Currency Wallet to cover the transaction and (where applicable) associated fees at the time that we receive notification of the transaction or if your credit or debit card or any other valid payment method linked to your Coinbase Account or Digital Currency Wallet is declined.

Trust Company may: (a) suspend or restrict Client’s access to the Custodial Services, and/or (b) deactivate, terminate or cancel Client’s Custodial Account if: • Trust Company is so required by a facially valid subpoena, court order, or binding order of a government authority; • Client uses Client’s Custodial Account in connection with a Prohibited Use or Prohibited Business, as set forth in Appendix 1 hereto; • Client’s Custodial Account activity results in a heightened risk of legal or regulatory non-compliance associated with Client’s Custodial Account; • Client circumvents Trust Company’s controls, including, but not limited to, opening multiple Custodial Accounts, abusing promotions which Trust Company may offer from time to time, or otherwise making a material misrepresentation of Client’s Custodial Account; or • Client materially breaches the terms of this Agreement. Except as set forth above, Trust Company shall not suspend Client’s access to the Custodial Account, and any suspension of Client’s access to the Custodial Account shall constitute a breach of this Agreement. If Trust Company suspends or closes Client’s Custodial Account, or terminates Client’s use of the Custodial Services for the reasons listed above, Trust Company will provide Client with notice of Trust Company’s actions unless a court order or other legal or regulatory process prohibits Trust Company from providing Client with such notice. Client acknowledges that Trust Company’s decision to take certain actions described in this Section 4.6 may be based on confidential criteria that are essential to Trust Company’s risk management and security protocols. Client agrees that Trust Company is under no obligation to disclose the details of its risk management and security procedures to Client. Client will be permitted to withdraw Digital Assets associated with Client’s Custodial Account for ninety (90) days after Custodial Account deactivation or cancellation unless such withdrawal is otherwise prohibited (i) under the law, including but not limited to applicable sanctions programs, or (ii) by a facially valid subpoena, court order, or binding order of a government authority.

CoinX may: (a) suspend, restrict, or terminate your access to any or all of the CoinX Services, and/or (b) deactivate or cancel your CoinX Account if: • We are so required by a facially valid subpoena, court order, or binding order of a government authority; or • We reasonably suspect you of using your CoinX Account in connection with a Prohibited Use or Business; or • Use of your CoinX Account is subject to any pending litigation, investigation, or government proceeding and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your Account activity; or • Our service partners are unable to support your use; or • You take any action that CoinX deems as circumventing CoinX's controls, including, but not limited to, opening multiple CoinX Accounts or abusing promotions which CoinX may offer from time to time. • You breach our Behavior Policy If CoinX suspends or closes your account, or terminates your use of CoinX Services for any reason, we will provide you with notice of our actions unless a court order or other legal process prohibits CoinX from providing you with such notice. You acknowledge that CoinX's decision to take certain actions, including limiting access to, suspending, or closing your account, may be based on confidential criteria that are essential to CoinX's risk management and security protocols. You agree that CoinX is under no obligation to disclose the details of its risk management and security procedures to you. You will be permitted to transfer Digital Currency or funds associated with your Hosted Digital Currency Wallet(s) and/or your Currency Wallet(s) for ninety (90) days after Account deactivation or cancellation unless such transfer is otherwise prohibited (i) under the law, including but not limited to applicable sanctions programs, or (ii) by a facially valid subpoena or court order. If CoinX suspends or closes your account, or terminates your use of CoinX Services for any reason CoinX reserves the right to require you to complete the Verification Procedures before permitting you with transfer or withdraw Digital Currency or Fiat Currency. You may cancel your CoinX Account at any time by withdrawing all balances. You will not be charged for canceling your CoinX Account, although you will be required to pay any outstanding amounts owed to CoinX. You authorize us to cancel or suspend any pending transactions at the time of cancellation.

We reserve the right, in our sole and absolute discretion, to restrict, suspend, or terminate your access to all or any part of the Site or Service, or to terminate this Agreement at any time without prior notice or liability if you breach any provision of this Agreement or violate the rights of any third party on or through the Site. We reserve the right to change, suspend, or discontinue all or any part of the Site at any time without prior notice or liability.

Suspension, Termination, and Cancellation. We may block, restrict, suspend, disqualify or terminate your use of your Provisioned Virtual Card within a Digital Wallet at any time, without notice and without providing any reason, including but not limited to (i) your breach of this Cardmembers’ Agreement, Other Specific Terms, or the Banking Agreement, (ii) our suspicion of fraudulent activity, and (iii) any cancellation or suspension of your Card Account. You agree that we will not be liable to you or any third party for any action taken in respect of the foregoing.
Suspension, Termination, and Cancellation. If at any time you breach the agreement, we may elect to suspend, terminate, or cancel your use of the Application and your account and recover any damages from you arising from the event(s) giving rise to the suspension, termination, or cancellation. We reserve the right to suspend your Application account and access to the Application at any stage for any reason we may deem necessary to continue to provide the Application in a way that may be hindered by your status as being our client, your financial status, or the client content or client message originating from you.
a) The Company will notify you via the email address and the SMS number on file 14 days prior to the period that the customer subscription will bill against the credit or debit card on file.
b) Upon any such termination, cancellation, or suspension, you are still responsible for any obligations then accrued. Your obligation to pay all amounts accrued and owed shall continue even after any suspension or cancellation of your access to the Application account (in whole or in part).
c) Upon termination, for any reason, you agree to immediately cease using the Application and the Company shall have no obligation to you after any termination or cancellation of your account or termination of your access to the Application.
d) Should such a termination take place, any Application Credits in your Account will be forfeited. The Company does not refund unused credits in any instance.
e) The provisions regarding ownership, payments, warranties, and indemnifications will survive any suspension, termination, or cancellation of your use of the Application.

(a) The Custodian is so required by a facially valid subpoena, court order, or binding order of a government authority;
(b) The Custodian reasonably suspects that the Client is using the Custodial Account in connection with any prohibited and/or illegal activities;
(c) The Custodian perceives a risk of legal or regulatory non-compliance associated with the Client’s Custodial Account activity;
(d) The Client breaches the terms of this Agreement; or
(e) The Client fails to pay service fees in accordance with the Fee Schedules. The Custodian will provide the Client with notice upon occurrence of any of the above-mentioned situations to the extent permitted by applicable law or regulation. The Client will be permitted to withdraw all digital assets associated with his/her Custodial Account within ninety (90) days after the Custodial Account is deactivated or cancelled to the extent permitted by applicable law or regulation.
