Common use of Suspension, Termination, and Cancellation Clause in Contracts

Suspension, Termination, and Cancellation. CoinX may: (a) suspend, restrict, or terminate your access to any or all of the CoinX Services, and/or (b) deactivate or cancel your CoinX Account if: • We are so required by a facially valid subpoena, court order, or binding order of a government authority; or • We reasonably suspect you of using your CoinX Account in connection with a Prohibited Use or Business; or • Use of your CoinX Account is subject to any pending litigation, investigation, or government proceeding and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your Account activity; or • Our service partners are unable to support your use; or • You take any action that CoinX deems as circumventing CoinX's controls, including, but not limited to, opening multiple CoinX Accounts or abusing promotions which CoinX may offer from time to time. • You breach our Behavior Policy If CoinX suspends or closes your account, or terminates your use of CoinX Services for any reason, we will provide you with notice of our actions unless a court order or other legal process prohibits CoinX from providing you with such notice. You acknowledge that CoinX's decision to take certain actions, including limiting access to, suspending, or closing your account, may be based on confidential criteria that are essential to CoinX's risk management and security protocols. You agree that CoinX is under no obligation to disclose the details of its risk management and security procedures to you. You will be permitted to transfer Digital Currency or funds associated with your Hosted Digital Currency Wallet(s) and/or your Currency Wallet(s) for ninety (90) days after Account deactivation or cancellation unless such transfer is otherwise prohibited (i) under the law, including but not limited to applicable sanctions programs, or (ii) by a facially valid subpoena or court order. If CoinX suspends or closes your account, or terminates your use of CoinX Services for any reason CoinX reserves the right to require you to complete the Verification Procedures before permitting you with transfer or withdraw Digital Currency or Fiat Currency. You may cancel your CoinX Account at any time by withdrawing all balances. You will not be charged for canceling your CoinX Account, although you will be required to pay any outstanding amounts owed to CoinX. You authorize us to cancel or suspend any pending transactions at the time of cancellation.

CoinX Coinbase Custody may: (a) suspend, restrict, suspend or terminate your restrict Client’s access to any or all of the CoinX Custodial Services, and/or (b) deactivate deactivate, terminate or cancel your CoinX Client’s Custodial Account if: • We are : 4.6.1. Coinbase Custody is so required by a facially valid subpoena, court order, or binding order of a government authority; or • We ; 4.6.2. Coinbase Custody reasonably suspect you suspects Client of using your CoinX Client’s Custodial Account in connection with a Prohibited Use or Prohibited Business; or • Use of your CoinX Account is subject to any pending litigation, investigation, or government proceeding and/or we perceive as set forth in Appendix 1; 4.6.3. Coinbase Custody perceives a heightened risk of legal or regulatory non-compliance associated with your Client’s Custodial Account activity; or • Our ; 4.6.4. Coinbase Custody service partners are unable to support your Client’s use; or • You take ; 4.6.5. Client takes any action that CoinX Coinbase Custody deems as circumventing CoinX's Coinbase Custody’s controls, including, but not limited to, opening multiple CoinX Accounts or Custodial Accounts, abusing promotions which CoinX Coinbase Custody may offer from time to time, or otherwise making a misrepresentation of Client’s Custodial Account; or 4.6.6. • You breach our Behavior Policy Client breaches or violates the terms of this Agreement. If CoinX Coinbase Custody suspends or closes your account, Client’s Custodial Account or terminates your Client’s use of CoinX the Custodial Services for any reason, we Coinbase Custody will provide you Client with notice of our Coinbase Custody’s actions unless a court order or other legal or regulatory process prohibits CoinX Coinbase Custody from providing you Client with such notice. You acknowledge Client acknowledges that CoinX's Coinbase Custody’s decision to take certain actions, including limiting access to, suspending, or closing your accountClient’s Custodial Account, may be based on confidential criteria that are essential to CoinX's Coinbase Custody’s risk management and security protocols. You agree Client agrees that CoinX Coinbase Custody is under no obligation to disclose the details of its risk management and security procedures to youClient. You Client will be permitted to transfer withdraw Digital Currency or funds Assets associated with your Hosted Digital Currency Wallet(s) and/or your Currency Wallet(s) Client’s Custodial Account for ninety (90) days after Custodial Account deactivation or cancellation unless such transfer withdrawal is otherwise prohibited (i) under the law, including but not limited to applicable sanctions programs, or (ii) by a facially valid subpoena, court order, or binding order of a government authority. If a shorter time frame than the ninety (90) days prescribed in the preceding sentence is required by an applicable court order, subpoena or court order. If CoinX suspends regulatory or closes your accountgovernmental authority, or terminates your Client shall use of CoinX Services for any reason CoinX reserves the right best efforts to require you to complete the Verification Procedures before permitting you with transfer or withdraw such Digital Currency or Fiat Currency. You may cancel your CoinX Account at any Assets within such shorter time by withdrawing all balances. You will not be charged for canceling your CoinX Account, although you will be required to pay any outstanding amounts owed to CoinX. You authorize us to cancel or suspend any pending transactions at the time of cancellationframe.

CoinX Cryptorao may: (a) suspend, restrict, or terminate your access to any or all of the CoinX Cryptorao Services, and/or and/or (b) deactivate or cancel your CoinX Cryptorao Account if: • We are so · required by a facially valid subpoenaany applicable laws or regulations, court order, or binding order of a government authorityyou breach these Terms; or • We · we reasonably suspect you of using your CoinX Cryptorao Account in connection with a Prohibited Use or Prohibited Business; or • Use · use of your CoinX Cryptorao Account is subject to any pending litigation, investigation, or government proceeding and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your Cryptorao Account activity; or • Our · our service partners are unable to support your use; or • You · you take any action that CoinX Cryptorao deems as circumventing CoinXCryptorao's controls, including, but not limited to, opening multiple CoinX Cryptorao Accounts or abusing promotions which CoinX Cryptorao may offer from time to time; or · your transaction behavior brings Cryptorao into disrepute and/or there is perceived market manipulation and/or attempted market disruption. • You breach our Behavior Policy If CoinX Cryptorao suspends or closes your account, account or terminates your use of CoinX Cryptorao Services for any reason, we will provide you with written notice of our actions unless actions. Unless a court order or other legal process prohibits CoinX Cryptorao from providing you with such notice. You acknowledge that CoinXCryptorao's decision to take certain actions, including limiting access to, suspending, or closing your account, may be based on confidential criteria that are essential to CoinXCryptorao's risk management and security protocols. You agree that CoinX Cryptorao is under no obligation to disclose the details of its risk management and security procedures to you. You will be permitted If your Cryptorao Account is deactivated or cancelled and you fail to transfer Digital Currency or and/or funds associated with your Hosted Digital Currency Wallet(s) and/or your Currency Wallet(sAccount(s) for within ninety (90) days after Account deactivation or cancellation thereafter unless such transfer is otherwise prohibited (i) under the law, including but not limited to applicable sanctions programs, or (ii) by a facially valid subpoena or court order, Cryptorao shall be entitled to transfer such Digital Currency and / or funds into such other account(s) and for such period as it may deem desirable for the purpose of holding such funds. If CoinX Cryptorao suspends or closes your account, account or terminates your use of CoinX Cryptorao Services for any reason CoinX Cryptorao reserves the right to require you to re-complete the Identification Verification Procedures process before permitting you with to transfer or withdraw Digital Currency or Fiat FIAT Currency. You may cancel your CoinX Cryptorao Account at any time by withdrawing all balancesbalances and by visiting your account. You will not be charged for canceling your CoinX Cryptorao Account, although you will be required to pay any outstanding amounts owed to CoinX. Cryptorao. Client takes any action that CoinX Coinbase Custody deems as circumventing CoinX's Coinbase Custody’s controls, including, but not limited to, opening multiple CoinX Accounts or Custodial Accounts, abusing promotions which CoinX Coinbase Custody may offer from time to time, or otherwise making a misrepresentation of Client’s Custodial Account; or 4.6.6. • You breach our Behavior Policy Client breaches or violates the terms of this Agreement. If CoinX Coinbase Custody suspends or closes your account, Client’s Custodial Account or terminates your Client’s use of CoinX the Custodial Services for any reason, we Coinbase Custody will provide you Client with notice of our Coinbase Custody’s actions unless a court order or other legal or regulatory process prohibits CoinX Coinbase Custody from providing you Client with such notice. You acknowledge Client acknowledges that CoinX's Coinbase Custody’s decision to take certain actions, including limiting access to, suspending, or closing your accountClient’s Custodial Account, may be based on confidential criteria that are essential to CoinX's Coinbase Custody’s risk management and security protocols. You agree Client agrees that CoinX Coinbase Custody is under no obligation to disclose the details of its risk management and security procedures to youClient. You Coinbase Custodial Services Agreement (US) Client will be permitted to transfer withdraw Digital Currency or funds Assets associated with your Hosted Digital Currency Wallet(s) and/or your Currency Wallet(s) Client’s Custodial Account for ninety (90) days after Custodial Account deactivation or cancellation unless such transfer withdrawal is otherwise prohibited (i) under the law, including but not limited to applicable sanctions programs, or (ii) by a facially valid subpoena, court order, or binding order of a government authority. CoinX AKB Fintech may: (a) suspend, restrict, or terminate your access to any or all of the CoinX AKB Fintech Services, and/or (b) deactivate or cancel your CoinX Account AKB Fintech Account(s) if: • (i) We are so required by a facially valid subpoena, court order, or binding order of a government authority; or • (ii) We reasonably suspect you of using your CoinX Account AKB Fintech Account(s) in connection with a Prohibited Use or Business; or • (iii) Use of your CoinX Account AKB Fintech Account(s) is subject to any pending litigation, investigation, or government proceeding and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your Account activity; or • (iv) Our service partners are unable to support your use; or • (v) You take any action that CoinX AKB Fintech deems as circumventing CoinX's AKB Fintech controls, including, but not limited to, opening multiple CoinX AKB Fintech Accounts or abusing promotions which CoinX AKB Fintech may offer from time to time. • ; or (vi) You breach our Behavior Policy Policy. If CoinX A AKB Fintech suspends or closes your account, or terminates your use of CoinX AKB Fintech Services for any reason, we will provide you with notice of our actions unless a court order or other legal process prohibits CoinX AKB Fintech from providing you with such notice. You acknowledge that CoinX's AKB Fintech decision to take certain actions, including limiting access to, suspending, or closing your account, may be based on confidential criteria that are essential to CoinX's AKB Fintech risk management and security protocols. You agree that CoinX AKB Fintech is under no obligation to disclose the details of its risk management and security procedures to you. You will be permitted to transfer Digital Currency or funds associated with your Hosted Digital Currency Wallet(s) and/or your Currency USD Wallet(s) for ninety (90) days after Account deactivation or cancellation unless such transfer is otherwise prohibited (i) under the law, including but not limited to applicable sanctions programs, or (ii) by a facially valid subpoena or court order. If CoinX suspends or closes your account, or terminates your use of CoinX Services for any reason CoinX reserves the right to require you to complete the Verification Procedures before permitting you with transfer or withdraw Digital Currency or Fiat Currency. You may cancel your CoinX Account AKB Fintech Account(s) at any time by withdrawing all balancesbalances and visiting xxxxx://xxx.xxxxxxxxxx.xxx/settings/cancel. You will not be charged for canceling your CoinX AccountAKB Fintech Account(s), although you will be required to pay any outstanding amounts owed to CoinX. AKB Fintech. You authorize us to cancel or suspend any pending transactions at the time of cancellation.

CoinX 8.1 Ibanera may: (a) suspend, restrict, or terminate your access to any or all of the CoinX Ibanera Services, and/or and/or (b) deactivate or cancel your CoinX Account Ibanera account if: • We : 8.1.1 we are so required by a facially valid subpoena, court order, or binding order of a government authority; or • We ; 8.1.2 we reasonably suspect you of using your CoinX Account Ibanera account in connection with a Prohibited Use or Business; or • Use prohibited use; 8.1.3 we reasonably suspect you of using your Ibanera account in connection with a prohibited business; 8.1.4 use of your CoinX Account Ibanera account is subject to any pending litigation, investigation, or government proceeding and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your Account account activity; or • Our ; 8.1.5 our service partners are unable to support your use; or • You ; 8.1.6 you take any action that CoinX Ibanera deems as circumventing CoinX's Ibanera’s controls, including, but not limited to, opening multiple CoinX Accounts Ibanera accounts or abusing promotions which CoinX Ibanera may offer from time to time. • You ; or 8.1.7 you breach our Behavior Policy this Agreement, Privacy Policy, OTC Trading Rules or any other Ibanera policies that may apply. 8.2 If CoinX Ibanera suspends or closes your account, or terminates your use of CoinX Ibanera Services for any reason, we will provide you with notice of our actions unless a court order or other legal process prohibits CoinX Ibanera from providing you with such notice. You acknowledge that CoinXXxxxxxx's decision to take certain actions, including limiting access to, suspending, or closing your account, may be based on confidential criteria that are essential to CoinXIbanera's risk management and security protocols. You agree that CoinX Xxxxxxx is under no obligation to disclose the details of its risk management and security procedures to you. . 8.3 You will be permitted to transfer Digital Virtual Currency or funds associated with your Hosted Digital Currency Wallet(s) and/or your Currency Wallet(s) for ninety (90) days after Account account deactivation or cancellation unless such transfer is otherwise prohibited prohibited (i) under the law, including but not limited to applicable sanctions programs, or (ii) by a facially valid subpoena or court order. If CoinX suspends or closes your account, or terminates your use of CoinX Services for any reason CoinX reserves the right to require you to complete the Verification Procedures before permitting you with transfer or withdraw Digital Currency or Fiat Currency. You may cancel your CoinX Account Ibanera account at any time by withdrawing all balancesbalances and inform us. You will not be charged for canceling cancelling your CoinX AccountIbanera account, although you will be required to pay any outstanding amounts owed to CoinX. Ibanera. You authorize us to cancel or suspend any pending transactions at the time of cancellation.

CoinX Pennhaven may: (a) suspend, restrict, or terminate your access to any or all of the CoinX Services, and/or (b) deactivate or cancel your CoinX Account account if: • We we are so required by a facially valid subpoena, court order, or binding order of a government authority; or • We we reasonably suspect you of using your CoinX Pennhaven Account in connection with a Prohibited Use or Business; or • Use your use of your CoinX Pennhaven Account or our Services is subject to any pending litigation, investigation, or government proceeding and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your Account activity; or • Our our service partners are unable to support your use; or • You you take any action that CoinX Pennhaven deems as circumventing CoinX's our controls, including, but not limited to, opening multiple CoinX Pennhaven Accounts or abusing promotions which CoinX Pennhaven may offer from time to time. • You breach We are not responsible for any losses, whether direct or indirect, that you may incur as a result of our Behavior Policy compliance with applicable law and regulations, the guidance or direction of any regulatory authority or government agency, or any writ of attachment, lien, levy, subpoena, warrant, or other legal order. If CoinX Pennhaven suspends or closes your account, or terminates your use of CoinX the Services for any reason, we will provide you with notice of our actions unless a court order or other legal or regulatory process prohibits CoinX Pennhaven from providing you with such notice. You acknowledge that CoinX's Xxxxxxxxx’s decision to take certain actions, including limiting access to, suspending, or closing your accountAccount, may be based on confidential criteria that are essential to CoinX's Pennhaven’s risk management and security protocols. You agree that CoinX Pennhaven is under no obligation to disclose the details of its risk management and security procedures to you. You will be permitted to transfer Digital Currency Assets or funds associated with your Hosted Digital Currency Wallet(sAsset wallet(s) and/or your Currency USD Wallet(s) for ninety (90) days after Account deactivation or cancellation unless such transfer is otherwise prohibited (i) under the law, including but not limited to applicable sanctions programs, or (ii) by a facially valid subpoena or court order. If CoinX suspends order or closes your account(iii) due to a violation of the terms of this agreement including but not limited to a Prohibited Use violation, unless by operation of law or terminates your use with the express permission of CoinX Services for any reason CoinX reserves the right to require you to complete the Verification Procedures before permitting you with transfer or withdraw Digital Currency or Fiat CurrencyPennhaven Markets. You may cancel your CoinX Pennhaven Account at any time by withdrawing all balancesbalances from your account and contacting us. You will not be charged for canceling your CoinX Accountaccount, although but you will may be required to pay withdrawal fees and any outstanding amounts owed to CoinX. us or our custodian partners. You authorize us to cancel or suspend any pending transactions at the time of cancellation.
