The term “Target”—when used in relation to any Long-Term or Annual incentive or bonus payment—means the pertinent target (as a percentage of base salary or otherwise) most recently established for the Executive by the Compensation Committee of the Board of Directors (or the Board of Directors as a whole or any other committee of the Board of Directors fulfilling such function) or, if none, the target specified in the pertinent plan or contract document.
