Common use of Technical Report Clause in Contracts

Technical Report. (a) The LIK Project is the only material property of Zazu for the purposes of NI 43-101; (b) The technical report (the "Technical Report") prepared by JDS Energy & Mining Inc. for Zazu on the LIK Project with a report date of April 23, 2014 titled "Preliminary Economic Assessment Technical Report, Zazu Metals Corporation, Lik Deposit, Alaska, USA", complied in all material respects with the requirements of NI 43-101 at the respective time of filing thereof and reasonably presented the quantity of mineral resources attributable to the LIK Project evaluated therein as at the respective dates stated therein based upon information available at the time the Technical Reports was prepared. Zazu does not have knowledge of a change in any production, cost, price, resources or other relevant information provided since the date such information was provided; (c) Zazu has made available to the authors of the Technical Report, prior to the issuance thereof, for the purpose of preparing such report, all information requested by them, and none of such information contained any misrepresentation at the time such information was so provided; (d) All of the material assumptions underlying the resource estimates in the Technical Report are reasonable and appropriate; (e) The disclosure estimates of mineral resources as described in the Zazu Disclosure Record comply in all material respects with NI 43-101; and (f) Zazu is in compliance in all material respects with the provisions of NI 43- 101, has filed all technical reports required thereby, and there has been no change of which Zazu is or should be aware that would disaffirm or change any aspect of the Technical Report or that would require the filing of a new technical report under NI 43- 101.

Technical Report. (a) The LIK Bongará Project is the only material property of Zazu Solitario for the purposes of NI 43-101; (b) The technical report prepared for Solitario by SRK Consulting (U.S.), Inc. in respect of the Bongará Project entitled "NI 43-101 Technical Report Mineral Resources Bongará Zinc Project Amazonas Department, Peru" with an effective date of June 5, 2014 (the "Solitario Technical Report") prepared by JDS Energy & Mining Inc. for Zazu on the LIK Project with a report date of April 23, 2014 titled "Preliminary Economic Assessment Technical Report, Zazu Metals Corporation, Lik Deposit, Alaska, USA", complied in all material respects with the requirements of NI 43-101 at the respective time of filing thereof and reasonably presented the quantity of mineral resources attributable to the LIK Project properties evaluated therein as at the respective dates date stated therein based upon information available at the time the Technical Reports report was prepared. Zazu Solitario does not have knowledge of a change in any production, cost, price, reserves, resources or other relevant information provided since the date such information was provided; (c) Zazu Solitario has made available to the authors of the Solitario Technical Report, prior to the issuance thereof, for the purpose of preparing such report, all information requested by them, and none of such information contained any misrepresentation at the time such information was so provided; (d) All of the material assumptions underlying the resource estimates in the Solitario Technical Report are reasonable and appropriate; (e) The disclosure estimates of mineral resources as described in the Zazu Solitario Disclosure Record comply in all material respects with NI 43-101; and (f) Zazu Solitario is in compliance in all material respects with the provisions of NI 43- 43-101, has filed all technical reports required thereby, and there has been no change of which Zazu Solitario is or should be aware that would disaffirm or change any aspect of the Solitario Technical Report or that would require the filing of a new technical report under NI 43- 101.

Technical Report. (ai) The LIK Project Escobal Mine is the only material property of Zazu Tahoe for the purposes of NI 43-101; (bii) The technical report prepared for Tahoe by M3 Engineering & Technology Corporation entitled “Escobal Mine Guatemala - 43- 101 Feasibility Study” with an effective date of November 5, 2014 (the "“ Tahoe Technical Report"”) prepared by JDS Energy & Mining Inc. for Zazu on the LIK Project with a report date of April 23, 2014 titled "Preliminary Economic Assessment Technical Report, Zazu Metals Corporation, Lik Deposit, Alaska, USA", complied in all material respects with the requirements of NI 43-101 at the respective time of filing thereof and reasonably presented the quantity of mineral reserves and mineral resources attributable to the LIK Project properties evaluated therein as at the respective dates date stated therein based upon information available at the time the Technical Reports report was prepared. Zazu Tahoe does not have knowledge of a change in any production, cost, price, reserves, resources or other relevant information provided since the date such information was provided; (ciii) Zazu Tahoe has made available to the authors of the Technical ReportReports, prior to the issuance thereof, for the purpose of preparing such report, all information requested by them, and none of such information contained any misrepresentation at the time such information was so provided; (div) All of the material assumptions underlying the resource estimates in the Technical Report Reports are reasonable and appropriate; (ev) The disclosure estimates of mineral reserves and mineral resources as described in the Zazu Tahoe Disclosure Record comply in all material respects with NI 43-10143 -101; and (fvi) Zazu Tahoe is in compliance in all material respects with the provisions of NI 43- 101, has filed all technical reports required thereby, and there has been no change of which Zazu Tahoe is or should be aware that would disaffirm or change any aspect of the Technical Report Reports or that would require the filing of a new technical report under NI 43- 101.
