TELEMATICS SERVICES. (a) Start of PASS Service. Beginning on the Commencement Date and continuing during the Term and for such additional time periods as are provided for in Section 27, HTI will provide to the purchasers and lessees of all DCC Vehicles which are equipped with HTI Telematics Communicators and for which such purchasers or lessees have Subscriber Agreements with HTI that are then in effect, the PASS Service. The services that make up the PASS Service are described on the attached Exhibit A. Exhibit A may be amended, supplemented or restated from time to time by mutual written agreement between the Parties.

TELEMATICS SERVICES. (a) Start of PASS Service. Exhibit A may be amended, supplemented or restated from time to time by mutual written agreement between the Parties. (b) Provision of the PASS Service to Enabled Vehicles. On and from the Commencement Date, HTI will provide the PASS Service in each Enabled Vehicle that is also a Subscriber Vehicle in accordance with the standards and service levels set forth in this Section 2 and in Exhibit B for each of the services that make up the PASS Service. Exhibit B may be amended, supplemented or restated from time to time by mutual written agreement of the Parties. HTI will make the PASS Service available to each Subscriber Vehicle that is also a DCC Vehicle 24 hours a day, seven days a week, irrespective of where the Subscriber Vehicle is located within the Territory, exempting issues related to cellular coverage or other circumstances beyond HTI’s means of control. (c) Standards for the PASS Service. HTI will ensure that the PASS Service meets or exceeds the specific service levels in Exhibit B and will use *** to maintain *** the PASS Service, including with respect to the price and quality thereof. Additionally, HTI will use *** to ensure that Subscribers are satisfied with the PASS Service.
TELEMATICS SERVICES. (a) Start of PASS Services and MBTA Services. Beginning on the Commencement Date and continuing during the Term and for such additional time periods as are provided for in Sections 27(a) or 27(b), HTI will provide the PASS Services and the MBTA Services to the purchasers and lessees of all MCG Vehicles and LCT Enabled Vehicles which are equipped with HTI Telematics Communicators, Other Telematics Communicators or LCT Communicators and for which such purchasers or lessees have Subscriber Agreements with HTI that are then in effect. The services that make up the PASS Services are described on the attached Exhibit A-1. The services that make up the MBTA Services are described on the attached Exhibit A-2. Exhibits A-1 and A-2 may be amended, supplemented or restated from time to time by mutual written agreement among the Parties.
TELEMATICS SERVICES. 3.1 Three agrees to provide the Telematics Services during the Telematics Services Period. 3.2 Three reserves the right to add to, substitute, or to discontinue any Telematics Services or Ancillary Services at any time. 3.3 Three does not guarantee the continuing availability of the Telematics Services or any particular Ancillary Services. 3.4 Customer agrees that in respect of the Telematics Services, Three is acting as a wireless service provider and as such has no knowledge of, involvement with or liability for the specific content of any communications sent to/by Customer’s SIM Cards or Customers use of the Telematics Services. 3.5 Certain elements of the Telematics Services are dependent on Customer having suitable telecommunications infrastructure available and/or using appropriate Equipment and Telematics Devices and in the event that the Customer is unable to provide a suitable telecommunications infrastructure, or fails to use appropriate Equipment or Telematics Devices, then: 3.5.1 Some or all of the Telematics Services may not function correctly (“the Affected Services”); 3.5.2 Three reserves the right not to provide Customer with the Affected Services; and 3.5.3 Three shall have no liability for Customer’s inability to receive the Affected Services. 3.6 Customer will be liable for all Charges incurred by its use of the Telematics Services. Three may monitor the Customer’s usage of the Telematics Services for the purpose of controlling Three’s credit risk and the Customer’s exposure to fraudulent usage. 3.7 Customer shall not be permitted to transfer a SIM Card from the Charges scheme which that SIM Card was originally connected to under this Agreement to another Threetariff without the written agreement of Three.

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Cloud Services You will not intentionally (a) interfere with other customers’ access to, or use of, the Cloud Service, or with its security; (b) facilitate the attack or disruption of the Cloud Service, including a denial of service attack, unauthorized access, penetration testing, crawling, or distribution of malware (including viruses, trojan horses, worms, time bombs, spyware, adware, and cancelbots); (c) cause an unusual spike or increase in Your use of the Cloud Service that negatively impacts the Cloud Service’s operation; or (d) submit any information that is not contemplated in the applicable Documentation.

  • Voice Services In lieu of any other rates and discounts, Customer will pay fixed per-minute rates ranging from $0.000 to $0.000 for the following Voice Services: Domestic Voice Service: Domestic Outbound Voice Service, including Calling Card and Domestic Inbound Voice Service based on origination and termination type. Data Services:

  • ADS Services Up to U.S. $5.00 per 100 ADSs (or fraction thereof) held on the applicable record date(s) established by the Depositary. Person holding ADSs on the applicable record date(s) established by the Depositary.

  • Dialysis Services This plan covers dialysis services and supplies provided when you are inpatient, outpatient or in your home and under the supervision of a dialysis program. Dialysis supplies provided in your home are covered as durable medical equipment.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition. 13.2 If the Hosting of Customer Data by Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract contributes to or directly causes a Data Breach, Supplier shall be responsible for the obligations set forth in Appendix 1 related to breach reporting requirements and associated costs.
