Temporary Notes shall be substantially in the form of definitive Definitive Notes but may have variations that the Issuer considers Issuers consider appropriate for temporary Notes. Without unreasonable delay, the Issuer Issuers shall prepare prepare, and the Trustee Trustee, upon receipt of an Authentication Order, shall authenticate definitive authenticate, Definitive Notes and deliver them in exchange for temporary Notes. Without unreasonable delay, the Issuer Issuers shall prepare and the Trustee Trustee, upon receipt of an Officer’s Certificate from each Issuer, shall authenticate definitive permanent Notes in exchange for temporary Notes. Until such exchange, temporary Notes shall be entitled to the same rights, benefits and privileges as definitive permanent Notes.

Temporary Notes. Until definitive Definitive Notes are prepared and ready for delivery, the Issuer Holdings may prepare and the Trustee shall authenticate temporary Notes. Temporary Notes shall be substantially in the form of definitive Definitive Notes but may have variations that the Issuer Holdings considers appropriate for temporary Notes. Without unreasonable delay, the Issuer Holdings shall prepare and the Trustee shall authenticate definitive Definitive Notes and deliver them in exchange for temporary Notes. Until Notes upon surrender of such exchange, temporary Notes shall be entitled at the office or agency of the Registrar without charge to the same rights, benefits and privileges as definitive NotesHolder.
