Temporary Offshore Global Notes Sample Clauses

The Temporary Offshore Global Notes clause defines the use of temporary global securities that are issued and held outside the United States, typically in connection with international offerings. These notes are usually deposited with a common depositary for a specified period and are not exchangeable for definitive securities or interests in a permanent global note until certain conditions, such as compliance with U.S. securities laws, are met. This clause ensures that the securities remain compliant with regulatory requirements during the initial distribution period and helps prevent unauthorized trading or transfer within restricted jurisdictions.
