Term Default Termination and Milestone. Term. As of the date and when signed below by all Parties, the Seller has elected, and the Buyer agrees, that this Agreement shall commence and, subject to the termination provisions set forth in this Agreement, shall continue for the entire Term specified above. Notwithstanding the foregoing, the applicable provisions of this Agreement shall remain in effect after termination hereof to the extent necessary to provide for final xxxxxxxx, billing adjustments, payments, and effectuation of all rights hereunder. At the end of the Term the Parties may agree to extend this Agreement for such further period as they may agree, provided that if no agreement is reached the Facility shall be transferred to the Buyer at no cost.
