Term Termination of Employment Period a. The Employment Period shall be perpetual, until terminated as a result of: (i) Executive’s resignation, which resignation must be accompanied by at least thirty (30) days’ prior written notice (except in the case of resignation by Executive for “Good Reason” as defined below); (ii) termination by the Company due to Executive’s Disability (as defined below); (iii) the Company’s termination of Executive’s employment (whether with Cause (as defined below) or without Cause); or (iv) Executive’s death. In the event of the termination of Executive’s employment by Executive or by the Company for any reason and regardless of the circumstance, Executive shall be deemed to have resigned from any and all positions as an officer and/or director of the Company and/or its Subsidiaries and Affiliates immediately upon such termination, and shall promptly execute all documents reasonably requested by the Company in order to effect such resignation.
