Terminación por Causa Justificada. Cualquiera de las partes podrá dar por terminado el Contrato (de manera total o con respecto a algún Formulario de Pedido o Producto de Red Hat, sea obtenido de Red Hat o de un Socio de Negocios) mediante una notificación a la otra parte si: a) la otra parte incumple sustancialmente el Contrato y no subsana el incumplimiento en el plazo de treinta (30) xxxx después de la notificación escrita (excepto en el caso de un incumplimiento de la Cláusula 8, en cuyo caso no se aplicará ningún período de subsanación); o b) la otra parte es objeto de una petición de quiebra o cualquier otro procedimiento relativo a insolvencia, banca rota, liquidación o cesión en beneficio de los acreedores. Además, Red Hat podrá, a criterio propio y sin limitar sus otros recursos, suspender (y no dar por terminado) cualquier Servicio si usted incumple el Contrato (lo que incluye lo relacionado con el pago de Tarifas) hasta que se subsane el incumplimiento.

  • For Cause For a material breach that remains uncured for more than thirty calendar days or other specified period after written notice to the Contractor, the Contract or Purchase Order may be terminated by the Commissioner or Authorized User respectively, at the Contractor’s expense where Contractor becomes unable or incapable of performing, or meeting any requirements or qualifications set forth in the Contract, or for non-performance, or upon a determination that Contractor is non-responsible. Such termination shall be upon written notice to the Contractor.   • Death or Disability The Executive's employment shall terminate automatically upon the Executive's death during the Employment Period.   • Termination for Cause If Vendor fails to materially perform pursuant to the terms of this Agreement, TIPS shall provide written notice to Vendor specifying the default. If Vendor does not cure such default within thirty (30) days, TIPS may terminate this Agreement, in whole or in part, for cause. If TIPS terminates this Agreement for cause, and it is later determined that the termination for cause was wrongful, the termination shall automatically be converted to and treated as a termination for convenience.
