TERMINATION BY. The Company Other Than For Cause Or Disability, Or By Employee For Good Reason.
(1) The Company shall have the right to terminate Employee's employment other than for Cause at any time, and Employee shall have the right to quit or resign for Good Reason at any time.
(2) If (a) the Company or its successors terminate Employee's employment with the Company other than (i) for Cause or (ii) pursuant to a notice of termination delivered in accordance with Section 1 of this Employment Agreement or (b) Employee resigns for Good Reason, then (v) the Company shall pay to Employee within thirty (30) days after the termination or resignation an amount equal to twenty-four months of Employee's base salary as in effect immediately before Employee's termination of employment or resignation, (w) the Company shall pay to Employee within thirty (30) days after the termination or resignation an amount equal to twenty-four months of the maximum contribution the Company may make for Employee under the Company's 401(k) profit sharing plan as in effect immediately before Employee's termination of employment or resignation, (x) any outstanding stock option(s) granted by the Company to Employee shall become fully vested and shall remain exercisable for twelve (12) months following Employee's termination pursuant to this Section 4(a)(2), or the tenth anniversary of the date(s) of the grant(s) specified in the relevant option agreement(s), whichever is the shorter period, (y) the restriction period on restricted shares of stock granted by the Company to Employee will continue and will lapse as if Employee had continued in the employ of the Company and a certificate(s) representing such shares will be delivered to Employee within thirty (30) days after the end of the applicable restriction period, and (z) Employee shall be reimbursed for up to $20,000 of outplacement services with an outplacement service approved by the Company.
(3) If the termination or resignation described in Section 4(a)(2) occurs within 730 days after or 240 days before a Change of Control, then (s) the Company shall pay to Employee, within thirty (30) days after the termination of employment or resignation an amount equal to twenty-four months of Employee's base salary as in effect immediately before Employee's termination of employment or resignation, (t) the Company shall pay to Employee, within thirty (30) days after the later to occur of the termination, resignation or Change of Control, the Bonus Amount, ...
TERMINATION BY may terminate this Agreement by giving Stanford written notice at least 30 days in advance of the effective date of termination selected by *****.
TERMINATION BY. PAE Other Than for Cause, Disability or Death; Termination by Executive for Good Reason Prior to March 19, 2024. Notwithstanding Section 4.03, if PAE elects to terminate Executive’s employment for any reason other than Cause, Disability or death or if Executive terminates Executive’s employment with PAE for Good Reason, and such termination occurs on or prior to March 18, 2024, Executive shall receive the payments and benefits set forth in this Section 4.05 in lieu of the payments and benefits set forth in Section 4.03. TERMINATION BY. PracticeWorks For Cause or By Executive Other Than For Good Reason.
(1) PracticeWorks shall have the right to terminate Executive's employment at any time for Cause, and Executive shall have the right to resign at any time other than for Good Reason.
(2) If PracticeWorks terminates Executive's employment for Cause or Executive resigns other than for Good Reason, PracticeWorks only obligation to Executive under this Employment Agreement shall be to pay Executive's earned but unpaid base salary then in effect under ss. 3(a), if any, up to the date Executive's employment terminates. Furthermore, if terminated for Cause, Executive shall forfeit Executive's right to exercise any outstanding options to purchase common stock of PracticeWorks no later than thirty days after the date Executive's employment so terminates.

TERMINATION BY. Yoga Teacher for Default of Guiding Company: Should Guiding Company default in the performance of this Agreement or materially breach any of its provisions, Yoga Teacher, at its option, may terminate this agreement immediately by giving written notification to Guiding Company.
TERMINATION BY. EMPLOYEE Employee may resign his employment at any time upon providing the Corporation with at least 90 days notice of his intention to resign. The Corporation may at its absolute discretion waive notice of resignation provided that it provide to Employee an amount equal to eight weeks base salary, less applicable statutory deductions should the Corporation waive entitlement to notice of resignation.
TERMINATION BY. [Short Legal Name]. In the event that [Short Legal Name] no longer wishes to participate in the CAISO’s Real-Time Market as an EIM Sub-Entity pursuant to the CAISO Tariff, it may terminate this Agreement on giving the CAISO not less than (30) days written notice. With respect to any notice of termination given pursuant to this Section, the CAISO must file a timely notice of termination with FERC or must otherwise comply with the requirements of FERC Order No. 2001 and related FERC orders. The filing of the notice of termination by the CAISO with FERC will be considered timely if (1) the request to file a notice of termination is made after the preconditions for termination have been met, and the CAISO files the notice of termination within thirty (30) days of receipt of such request; or (2) the CAISO files the notice of termination in accordance with the requirements of FERC Order No. 2001. This Agreement shall terminate upon acceptance by FERC of such a notice of termination or upon the next production date of the Full-Network Model release following the thirty (30) days after the CAISO’s receipt of [Short Legal Name]'s notice of termination, if terminated in accordance with the requirements of FERC Order No. 2001 and related FERC orders.
TERMINATION BY. EMPLOYEE Executive may terminate his employment by Company at any time, with or without cause, by providing Company thirty (30) days' advance written notice. Company will have the option, in its complete discretion, to make Executive's termination of employment effective at any time after receipt of such notice and prior to the end of such notice period, provided Company pays Executive all compensation due and owing through the last day actually worked plus an amount equal to the Base Salary Executive would have earned through the balance of the notice period, and thereafter all of Company's obligations under this Agreement terminate.
TERMINATION BY the University and by You and what happens at the end of the Licence Agreement
7.1 This Licence Agreement may be terminated on notice by the University, in the event of,
a) You ceasing to be a student at the University; and/or
b) You committing a serious breach or persistent of Your obligations under this Agreement, and You failing to remedy those or that breach after being given a reasonable opportunity to do so
c) the University reasonably believing that Your behaviour is such that Your removal from the Room is necessary to protect the well-being of You or any other residents at the University Accommodation or to prevent reasonable damage; and/or
d) You failing to make an instalment of the Licence Fee, having been asked to do so within a reasonable period by the University following the process set out in the Debt management Policy
e) the University considering Your behaviour to constitute a serious risk to the health, safety or welfare of You or any other residents at the University Accommodation if the Room that you occupy and/or the accommodation in which it is located requires modernisation and/or redevelopment works which in the reasonable opinion of the University necessitates that the Room and/or accommodation has to be vacated in order for such works to be undertaken safely; or if the accommodation in which you occupy a Room is closed for, redevelopment for other purposes other than accommodation for students. In the case of clause 7.1f) or clause 7.1g), the University shall only be able to terminate this Licence Agreement provided that:
a) the University has notified You in writing at the time of entering this Licence Agreement or at any time subsequently that the Room that you will or do occupy and/or the accommodation in which it is located may fall within clause 7.1f) or clause 7.1g); and
b) not less than 4 weeks after given you notice as provided for in clause 7.2a), given You not less than 3 months notice in writing of termination.
