Common use of Termination and Indemnity Clause in Contracts

Termination and Indemnity. Any nurse who fails to comply with the 8 membership or fair-share obligation who has not provided a notice of election to opt out 9 of such obligation under the terms above may by written notice from the Association to 10 the nurse, with a copy to the Hospital, be given fourteen (14) calendar days' notice of 11 termination. The Association shall indemnify, defend, and hold the Hospital harmless 12 from all claims, demands, suits, and other liability that may arise out of or by reason of 13 action taken by the Hospital for the purpose of complying with any provision of this 14 Section 1.4.
