Common use of Termination by Executive Clause in Contracts

Termination by Executive. Executive may terminate this Agreement and his or her employment hereunder, other than on account of Constructive Termination, upon 30 days prior written notice to the Company or such shorter period as may be agreed upon by the Chief Executive Officer and Executive. Termination by Executive. The Executive may terminate this Agreement and his employment at any time, for any reason or her employment hereunderno reason, other than on account of Constructive Terminationwith or without Cause (as defined below), upon 30 days prior written notice to by providing the Company or with 30-days advance written notice. Thereafter, all obligations of the Company under this Agreement shall cease except that Executive will be entitled to wages earned through the effective date of such shorter period termination as may be agreed upon by well as the Chief Executive Officer severance compensation and Executive. Notwithstanding any otherprovisions of this Agreement, Executive may terminate this Agreement and his Executive's employmenteither (i) in the event of a "Change in Control" or her employment hereunder, other than on account of Constructive Termination, (ii) by written noticeserved upon 30 days prior written notice to the Company or such shorter period as may be agreed upon by the Chief within thirty (30) calendar days after Executive Officer and Executive. In such event, no additional payments or benefits shall be due hereunder, except as may be provided under a separate plan, policy or program evidencing a retirement or other benefit plan or as may be required by law to be providedhasknowledge of an event constituting "Good Reason."

Termination by Executive. Executive may terminate this Agreement and his or her employment hereunder, other than on account of Constructive Termination, upon 30 days prior by delivering a written notice to Company at least hundred and twenty (120) days in advance of the Original Expiration Date or the Renewal Date, as the case may be. Company or such shorter period may terminate this Agreement for the reasons as may be agreed upon by the Chief Executive Officer and Executiveset forth in this Section IV. In such eventeach case, no additional payments or benefits Executive's last day of employment shall be due hereunder, except as may be provided under a separate plan, policy or program evidencing a retirement or other benefit plan or as may be required by law to be providedthe "Termination Date."

Termination by Executive. The Company reserves the right to end the employment relationship at any time after the notice date and to pay Executive through the notice date. If this Agreement is terminated by the Chief Executive Officer in accordance with this paragraph, the obligations of the parties will be controlled by paragraphs 6.3 and Executive. In such event, no additional payments or benefits shall be due hereunder, except as may be provided under a separate plan, policy or program evidencing a retirement or other benefit plan or as may be required by law to be provided6.6 of this Agreement.

Termination by Executive. Executive may terminate this Agreement and his or her employment hereunder, other than on account at any time by delivery of Constructive Termination, upon 30 days prior a written notice of resignation to Company ("notice of Resignation") thirty (30) prior to the Company or such shorter period as may be agreed upon by the Chief Executive Officer and Executivedate of termination. The Company may be agreed upon by elect whether or not Executive shall perform duties under this Agreement during all or a portion of the Chief Executive Officer and Executive. In such event, no additional payments or benefits Notice Period but shall be due hereunder, except required to pay Executive all wages and other compensation as may be provided under a separate plan, policy or program evidencing a retirement or other benefit plan or as may be required by law to be providedfor in Section 3 until the end of the Executive Notice Period.

In such event, no additional payments or benefits shall be due hereunder, except as may be provided under a separate Company’s benefit plan, policy or program evidencing a retirement or other benefit plan or if any, shall cease as may be required by law to be providedof the termination date.

Termination by Executive. Executive may terminate this Agreement and his without cause or her employment hereunder, other than on account of Constructive Termination, upon reason by giving one (1) month’s (30 days prior calendar days) written notice to the Company or such shorter period as may be agreed upon by the Chief Executive Officer and ExecutiveCompany. In such eventthe event Executive provides written notice of termination of this Agreement, no additional payments or Company may reduce the time period set forth in this Section. In such event, Executive shall receive no additional payments or benefits further compensation hereunder after the Termination Date as defined herein other than the health insurance opportunity provided in Xxxxxxxxx 0X hereof, but that the Non-Compete contained in the Letter Agreement and this Agreement shall be due hereunder, except as may be provided under a separate plan, policy or program evidencing a retirement or other benefit plan or as may be required by law continue to be providedapply in accordance with their terms.

Termination by Executive. Executive may may, with or without cause, terminate his engagement under this Agreement and his or her employment hereunder, other than on account of Constructive Termination, upon 30 days by giving the Company at least 60 days' prior written notice to the Company or of such shorter period as termination (which may be agreed upon waived by the Chief Executive Officer and Executive. In such event, no additional payments or benefits shall be due hereunder, except as may be provided under a separate plan, policy or program evidencing a retirement or other benefit plan or as may be required by law to be providedCompany).

Termination by Executive. Executive may has the right to terminate this Agreement and his or her the Executive's employment hereunder, other than on account of Constructive Termination, upon 30 days prior written notice to hereunder by providing the Company with written notice, which shall provide for an effective date of termination (the "Voluntary Termination Date"). The Executive shall receive the remuneration, benefits and expenses contemplated by this Agreement with respect to periods prior to such Voluntary Termination Date and any options to acquire common stock which may have vested up to and including the Voluntary Termination Date and the Executive shall not be entitled to any other remuneration, reimbursement or such shorter period as may be agreed upon by the Chief Executive Officer and Executive. In such event, no additional payments or benefits shall be due hereunder, payment except as may be otherwise provided under a separate plan, policy or program evidencing a retirement or other benefit plan or as may be required by law to be providedin this Agreement.

Termination by Executive. Executive may terminate this Agreement and his or her employment separate from service hereunder, other than on account of his Constructive Termination, upon 30 days 60 days’ prior written notice to the Company Company, or such shorter period as may be agreed upon by the Chief Executive Officer Company and Executive. In such event, the Company shall pay or provide the Mandated Amounts and shall have no additional payments or benefits shall be due further obligation hereunder, except as may be provided under a separate plan, policy or program evidencing a retirement or other benefit plan or as may be required by law to be provided.

Termination by Executive. Executive may terminate this Agreement and his or her employment hereunder, other than on account of Constructive Termination, upon 30 hereunder by at least thirty (30) days prior advance written notice to the Company or such shorter period as may be agreed upon by the Chief Executive Officer and Executive. Termination by Executive.
