Common use of Termination of Acceleron Sales Force Cost Reimbursement Clause in Contracts

Termination of Acceleron Sales Force Cost Reimbursement. On a Licensed Product-by-Licensed Product and country-by-country basis in North America, on the date on which in such country there is at least one Generic Product, then Celgene shall no longer be responsible for Acceleron’s Sales Force Costs under Section 5.5.1(b) (or Section 2.7.2) with respect to such Licensed Product in such country in North America, and such Sales Force Costs will no longer be deemed Operating Costs hereunder, and Acceleron shall have no further obligation to Promote such Licensed Product or maintain a sales force for the purpose of Promoting such Licensed Product.

On a Licensed Product-by-Licensed Product and country-by-country basis in North America, on the date on which in such country there is at least one Generic ProductProduct with respect to such Licensed Product in the Celgene Field, then Celgene shall no longer be responsible for Acceleron’s Sales Force Costs under Section 5.5.1(b5.5.1(a) (or Section 2.7.22.7.2(b)) with respect to such Licensed Product in such country in North America, and such Sales Force Costs will no longer be deemed Operating Costs hereunder, and Acceleron shall have no further obligation to Promote such Licensed Product in the Celgene Field or maintain a sales force for the purpose of Promoting such Licensed ProductProduct in the Celgene Field.
