Termination of Agreement and Resignation of Agent. 5.1 This Agreement shall terminate on the final disposition of the property held in escrow hereunder, provided that the rights of the Agent and the obligations of the other parties hereto under Section 4 shall survive the termination hereof.
5.2 The Agent may resign at any time and be discharged from his duties as Agent hereunder by giving the Parties at least 30 days’ prior written notice thereof. As soon as practicable after its resignation, the Agent shall turn over to a successor escrow agent appointed by the Parties the Escrow Shares held hereunder upon presentation of the document appointing the successor escrow agent and its acceptance thereof. If a successor escrow agent has not been so appointed within the 60-day period following such notice of resignation, the Agent may deposit the Escrow Shares with any court it deems appropriate.
Termination of Agreement and Resignation of Agent. 5.1 This Agreement shall terminate on the final disposition of the monies and property held in escrow hereunder, provided that the rights of the Agent and the obligations of the other parties hereto under Sections 4 and 7 shall survive the termination hereof.
5.2 The Agent may resign at any time and be discharged from its duties as Agent hereunder by giving the Corporation, the subscribers and the Non-Public Stockholders at least 30 days' notice thereof. As soon as practicable after its resignation, the Agent shall turn over to a successor escrow agent appointed by the Corporation all monies and property held hereunder (less such amount as the Agent is entitled to retain pursuant to Section 7) upon presentation of the document appointing the new escrow agent and its acceptance thereof. If no new Agent is so appointed within the 60-day period following such notice of resignation, the Agent may deposit the aforesaid monies and property with any court it deems appropriate.
Termination of Agreement and Resignation of Agent. This Escrow Agreement shall terminate on the final disposition of the monies and property held in escrow hereunder, provided that the rights of the Agent and the obligations of the other parties hereto under Sections 4 and 7 shall survive the termination hereof.
Termination of Agreement and Resignation of Agent. 12.1 This Agreement shall terminate on the final disposition of the Collateral, provided that the rights of the Agent and the obligations of the other parties hereto under Sections 10 and 12 shall survive the termination hereof.
12.2 The Agent may resign at any time and be discharged from its duties as Agent hereunder by giving the Pledgor and the Pledgee at least 30 days’ prior written notice thereof. As soon as practicable after its resignation, the Agent shall turn over to a successor collateral agent appointed by the Pledgor and the Pledgee the Collateral upon presentation of the document appointing the successor collateral agent and its acceptance thereof. If a successor collateral agent has not been so appointed within the 60-day period following such notice of resignation, the Agent may deposit the aforesaid monies and property with any court it deems appropriate.
Termination of Agreement and Resignation of Agent. (a) This Agreement shall terminate upon the termination of the escrow created hereunder as provided in Section 4(c), provided that the rights of the Agent and the obligations of 3dfx, Newco and the Securityholders under Sections 5, 6 and 10 shall survive any termination hereof.
(b) The Agent may resign and be discharged from its duties hereunder at any time by giving not less than 45 days prior written notice of such resignation to 3dfx and the Securityholder Representative, which notice shall specify the date when such resignation shall take effect. Upon such notice, 3dfx and the Securityholder Representative shall jointly appoint a successor escrow agent. If 3dfx and the Securityholder Representative do not agree upon a successor escrow agent within 45 days after such notice, The Chase Manhattan Bank shall be appointed successor. The agent shall continue to serve until its successor delivers to 3dfx and the Securityholder Representative a duly executed instrument of acceptance from such successor of the terms and conditions of this Agreement and other property held in escrow, at which time the agent shall have no further duties or responsibilities hereunder.
Termination of Agreement and Resignation of Agent. (a) This Agreement shall terminate on the final disposition of the property held in escrow hereunder, provided that the rights of the Agent and the obligations of Netvoice and Shareholders under SECTIONS 5, 6 and 10 of this Agreement shall survive the termination hereof. The termination of the escrow created hereunder shall occur solely pursuant to the terms hereunder. Such termination shall not be directly or indirectly within the control of the Shareholders, nor shall the return of the Escrowed Shares be triggered by the payment of additional tax or reduction in tax resulting from an Internal Revenue Service audit of the Company, the Shareholders, or any persons related to the Company or the Shareholders within the meaning of Section 267(c)(4) of the Internal Revenue Code of 1986, as amended.
(b) The Agent may resign at any time and be discharged from its duties as escrow agent hereunder by giving Netvoice and Shareholders at least forty-five (45) days' written notice thereof. As soon as practicable after its resignation, the Agent shall turn over to a successor escrow agent appointed by Netvoice and Shareholders all monies and property held hereunder upon presentation of the document appointing the new escrow agent and its acceptance thereof. If no new escrow agent is so appointed within the forty-five (45) day period following such notice of resignation, the Agent may deposit the aforesaid monies and property with the registry of any State or Federal court located in the City of Dallas, State of Texas.
Termination of Agreement and Resignation of Agent. (a) This Agreement may be terminated by mutual agreement of the parties and shall terminate on the Termination Date, provided that the rights of Agent and the obligations of the other parties hereto under Sections 8 and 10 shall survive the termination hereof.
(b) Agent may resign at any time and be discharged from its duties as escrow agent hereunder by giving the parties hereto at least 60 days' notice thereof. As soon as practicable after its resignation, Agent shall turn over to

5.2 The Agent may resign at any time upon giving 10 days’ notice to the Company and Secured Party. If a successor escrow agent is not appointed jointly by the Company and Secured Party within 10 days after notice of resignation, the Agent may petition any court of competent jurisdiction located in Hillsborough County, Florida to name a successor escrow agent and the Agent herein shall be fully relieved of all liability under this Agreement to any and all parties upon the transfer of the Collateral to the successor escrow agent designated jointly by the Company and Secured Party or appointed by the court.
Termination of Agreement and Resignation of Agent. (a) This Agreement shall terminate on the final disposition of the monies and property held in escrow hereunder, provided that the rights of the Agent and the obligations of the other parties hereto under Sections 7 and 8 shall survive the termination hereof.
(b) The Agent may resign at any time and be discharged from its duties as escrow agent hereunder by giving the other parties hereto at least 60 days' notice thereof. The General Partner or the Selling Agent may remove the Agent at any time by giving to the other parties hereto at least 30 days' notice thereof. As soon as practicable after its resignation or removal, the Agent shall turn over to a successor escrow agent appointed by the other parties hereto all monies and property held hereunder upon presentation of the document appointing the successor escrow agent and its acceptance thereof. If no successor escrow agent is so appointed within the 60-day period following such notice of resignation or the 30-day period following such notice of removal, the Agent may deposit the aforesaid monies and property with any court in the City of Denver, State of Colorado, it deems appropriate. If the Agent is removed, it shall be entitled to (i) the full payment of its flat fee, (ii) compensation for services rendered prior to such removal and (iii) out-of-pocket expenses incurred prior to such removal, all as set forth on Exhibit A.
Termination of Agreement and Resignation of Agent. 7.1 This Agreement shall terminated on the final disposition of the Escrow Funds and the Escrow Shares held in escrow hereunder; provided that the rights of the Agent and the obligations of the other parties hereto under Sections 5 and 8 shall survive the termination hereof.
7.2 The Agent may resign at any time and be discharged from its duties as Agent hereunder by giving the Company and the Investors at least thirty (30) days’ notice thereof. As soon as practicable after its resignation, the Agent shall turn over to a successor escrow agent appointed by the Company all Escrow Funds and Escrow Shares held hereunder (less such amount as the Agent is entitled to retain pursuant to Section 8) upon presentation of the document appointing the new escrow agent and its acceptance thereof.
