Termination of Management Contract. To the extent required by Buyer as determined during the Inspection Period, an instrument terminating the Management Contract, in form reasonably satisfactory to Buyer and its counsel; provided, that so long as Seller has provided written notice of termination to the Management Company within two (2) business days after the end of the Inspection Period, but the Closing is scheduled prior to the end of the term of the Management Contract, Buyer agrees to honor such contract until its expiration in accordance with its terms.

Termination of Management Contract. The engagement of Parthenon Capital, LLC's services under the letter agreement, dated as of August 17, 2001, as amended (the "PARTHENON MANAGEMENT AGREEMENT"), shall terminate concurrently with the Closing of the transactions contemplated hereby and the Buyer shall have received a termination letter in the form of EXHIBIT 6.1(G) executed by the parties to the Parthenon Management Agreement and in full force and effect.
Termination of Management Contract. Effective upon Close of Escrow, Seller shall terminate any existing property management contract relating to the Property. Prior to the expiration of the Inspection Period, Buyer shall notify Seller of those Service Agreements (if any) that Buyer does not wish to assume at Closing. Seller shall cause all of such Service Agreements to be terminated at or prior to Closing, and Buyer shall assume the other Service Agreements not objected to by Buyer at Closing. However, if any of the Service Agreements that Buyer directs Seller to terminate cannot be terminated within the aforesaid time period, then Seller shall be responsible for all fees payable thereunder through the Closing Date, and Buyer shall assume the responsibilities thereunder, including all fees payable, beginning on the Closing Date until such termination is effective.
