Termination of Managing Contractor Contract. If the Managing Contractor Contract is terminated at any time for any reason, the Contractor may: terminate the Subcontract by notice in writing to the Consultant; or without the consent of the Consultant, novate the Subcontract to the Commonwealth or a person nominated by the Commonwealth. If the Subcontract is novated under paragraph (a)(ii), the Consultant must upon demand by the Contractor execute any instrument required by the Contractor to give effect to the novation.
