Termination of Payment Fund; No Liability. At any time following the first (1st) anniversary of the Effective Time, Parent shall be entitled to require the Paying Agent to deliver to it any funds (including any interest received with respect thereto) remaining in the Payment Fund that have not been disbursed, or for which disbursement is pending subject only to the Paying Agent’s routine administrative procedures, to holders of Certificates or Book-Entry Shares, and thereafter such holders shall be entitled to look only to Parent (subject to abandoned property, escheat or similar Laws) as general creditors thereof with respect to the Merger Consideration payable upon due surrender of their Certificates (or affidavit of loss in lieu thereof in accordance with Section 3.2(e)) or Book-Entry Shares and compliance with the procedures in Section 3.2(b), without any interest thereon. Notwithstanding the foregoing, none of Parent, the Company, Merger Sub, the Surviving Company or the Paying Agent shall be liable to any holder of a Certificate or Book-Entry Share for any Merger Consideration or other amounts delivered to a public official pursuant to any applicable abandoned property, escheat or similar Law.

Termination of Payment Fund; No Liability. At any time following the first (1st) anniversary of the date on which any funds are delivered to the Paying Agent for distribution to the Equityholders, the Surviving Corporation shall be entitled to require the Paying Agent to deliver to it any portion of such funds (including any earnings received with respect thereto) that have not been disbursed to Equityholders and thereafter each Equityholder shall be entitled to look only to the Surviving Corporation (subject to abandoned property, escheat or other similar Laws) and only as general creditors with respect to such Equityholder’s interest in such funds, without any interest thereon. Notwithstanding the foregoing, none of Parent, the Surviving Corporation, or the Paying Agent shall be liable to any holder of a certificate formerly representing shares of Company Capital Stock for any amounts delivered to a public official pursuant to any applicable abandoned property, escheat or similar Law. Any amounts remaining unclaimed by Equityholders three (3) years after the date on which any funds are delivered to the Paying Agent (or such earlier date, immediately prior to such time when the amounts would otherwise escheat to or become the property of any Governmental Authority) shall become, to the extent permitted by applicable Law, the property of the Surviving Corporation, free and clear of any claims or interest of any Person previously entitled thereto.

Termination of Payment Fund; No Liability. Subject to the second sentence of this Section 2.14(f), any portion of the Payment Fund that constitutes the Closing Payment or any Milestone Payment or Revenue Payment and that remains undistributed to the Company Securityholders or to participants in the Management Sale Bonus Plan (A) in the case of the Closing Payment, as of the six-month anniversary of the Effective Time and (B) in the case of any Milestone Payment or Revenue Payment, as of the six-month anniversary of the applicable Milestone Payment Date or Revenue Payment Date, shall be delivered to Parent, upon demand, and any Company Securityholder (other than a holder of Dissenting Shares and shares to be canceled in accordance with Section 2.8(b) and Section 2.9(b), as applicable), who has not complied with this Section 2.14 shall be entitled to look to Parent (subject to abandoned property, escheat and other similar Laws) only as general creditors thereof with respect to any consideration that may be payable upon due surrender of the Certificates and Warrants held by them. Notwithstanding the foregoing, none of Parent, the Surviving Corporation or the Paying Agent shall be liable to any Company Securityholder for any consideration delivered to a public official in accordance with any abandoned property, escheat or other similar Law.
Termination of Payment Fund; No Liability. At any time following the second (2nd) anniversary of the Effective Time, the Stockholders’ Representative shall be entitled to require the Paying Agent to deliver to it or its designee any funds (including any earnings received with respect thereto) remaining in the Payment Fund or certificates for shares of Buyer Common Stock that had been made available to the Paying Agent and that have not been disbursed to the Fully Diluted Common Holders, and thereafter such Fully Diluted Common Holders shall be entitled to look only to the Stockholders’ Representative or such designee (subject to abandoned property, escheat or other similar Laws) and only as general creditors thereof solely with respect to the applicable Merger Consideration payable to them, without any interest thereon.
